本《卖家协议》（以下简称“本协议”） 由您（以下或称“卖家”）与POIZON（如下文所定义）共同缔结。
This Seller Agreement (this “Agreement”) is made and entered into by and between you (the “Seller”) and POIZON (as defined below).
您在接受本协议之前，请您仔细阅读全部条款内容，特别是免除或限制责任的条款、法律适用和争议解决条款等用粗体标识的条款，您需要重点阅读。当您阅读、勾选并点击同意本协议或以其他方式选择接受本协议（如实际使用我们的服务），即表示您已充分阅读、理解并同意受本协议约束入驻POIZON平台 （如下文所定义）, 您通过网络页面点击同意或以其他方式选择接受本协议之日起为签约日。如您对本协议的条款有疑问，请通过客服进行咨询，我们将向您解释条款内容。如您不同意本协议内容，请不要进行后续操作。POIZON平台中的用户协议、费用或交易规则、隐私政策等相关约束卖家权利义务的条款和本协议具有同等法律效力。
You should carefully read all the terms and conditions of this Agreement (especially the clauses on exemption or limitation of liability, termination of this Agreement, liability for breach of contract, dispute resolution and other clauses in bold or capitalized) before clicking to agree to this Agreement. When you read, check, and click to agree to this Agreement or choose to accept it in any other manner (such as by using our services), you confirm that you have thoroughly read, understood, and agree to be bound by this Agreement to be the Seller on the POIZON Platform (as defined below). The signing date shall be the date on which you click to agree to it online or otherwise indicate your acceptance. In the case of any question about clauses hereof, please contact the customer service center for further explanation. If you do not agree to this Agreement, please do not proceed with further actions. The Term of Use, fees or transaction rules, privacy policies, and other terms that bind the rights and obligations of Sellers within the POIZON Platform have the same legal effect as this Agreement.
您应确保您在本服务的使用及付款过程中,始终具备完全民事权利能力和完全民事行为能力,并确保您具有签订和履行本协议约定的权利义务之实际能力。如果您因年龄、智力等因素而不具有完全民事行为能力，请在法定监护人（"监护人"）的陪同下阅读并判断是否同意本协议。在该等情况下，您使用我们的服务应当获得您监护人的明示同意，否则，我们有权拒绝向您提供服务，由此产生的纠纷或损失由您或您的监护人承担。
You shall ensure that you always have full capacity for rights and conduct during the use of this Agreement and payment process. You must also possess the legal capacity to enter into and perform the rights and obligations stipulated in this Agreement. If you lack full capacity for conduct due to factors such as age or mental capacity, please read and assess your consent to this Agreement in the presence of your legal guardian (the "Guardian"). In such circumstances, your use of our services must obtain express consent from your Guardian; otherwise, we reserve the right to refuse to provide services to you. Any disputes or losses arising from this shall be borne by you or your Guardian.
一、定义
Definition
1. “POIZON” (or "We") means:
(a) POIZON Holding Pte. Ltd. and De Wu (HK) Supply Chain Company Limited (collectively, “Joint Operators”), if you are a Korean Seller and are selling products to Korean consumers, and you choose the manual listing model (“Korea Model”); or
(b) POIZON Holding Pte. Ltd., if you are not using the Korea Model.
POIZON （或称 “我们” ）：
(a) 如果您是韩国卖家并向韩国消费者销售产品，并选择自主出价模式（ “韩国模式” ），则指POIZON Holding Pte. Ltd. 与得物（香港）供应链有限公司（统称 “联合运营商” ）；或
(b) 如果您未使用韩国模式，则指 POIZON Holding Pte. Ltd.。
2. “Platform” means the application known as POIZON APP, website (www.poizon.com) or other forms of services (e.g., H5 webpage) for which POIZON provides technical support and services, provided that POIZON reserves the right to modify the name, domain name or other relevant elements of the Platform at its discretion from time to time.
“平台”：由 POIZON 提供技术支持及服务的 POIZON APP、网站 (www.poizon.com) 或其他形式的服务（例如 H5 网页），但前提是 POIZON 保留自行决定不时修改平台名称、域名或其他相关要素的权利。
二、 成为POIZON平台适格的卖家条件
II. Conditions for a Qualified Seller of POIZON Platform
2.1您注册POIZON平台进行商品转让或者出售，须持续满足以下条件：
2.1 To register as a qualified Seller of POIZON Platform to transfer or sell products, you shall satisfy the following conditions:
（1）年满18周岁且能独立承担本协议法律责任；
(1) You must be at least 18 years old and can independently assume the legal responsibilities hereunder;
（2） 同意并接受本协议及POIZON平台服务协议以及其他协议、规则等内容；
(2) You shall agree with and accept this Agreement, Terms of Use of POIZON Platform, other relevant agreements, rules, and terms;
（3） 出售的商品来源合法，符合相关法律法规且不侵犯任何第三方的合法权益。
(3) The products for sale are sourced legally, in compliance with relevant laws and regulations, and do not infringe upon the legitimate rights and interests of any third party;
（4） 提交相关个人信息用以完成个人身份验证。
(4) Submission of certain personal information is required to complete individual identity authentication.
（5） 您和您的产品将遵守所有适用的法律、法规、规则、相关政府部门的要求和行业标准，包括但不限于出口管制和制裁法律。
(5) You and your products shall comply with all applicable laws, regulations, rules, requirements of relevant government authorities, and industry standards, including without limitation, applicable export control and sanctions laws.
三、卖家权利及义务
III. Rights and Obligations of the Seller
3.1平台服务费。您出售商品时需要向POIZON平台支付平台服务费，具体金额以POIZON平台的出价页面、卖家规则页面或其他页面展示为准。
3.1 Service Fees. You are required to pay a Service Fee to POIZON when selling products. The specific amount shall be subject to the display on the listing page, seller rules center page, or other relevant pages of the POIZON Platform.
如果您选择 POIZON 托管出价模式，POIZON 将不收取任何服务费，除非POIZON平台另有明确说明除外。
If you choose the POIZON Smart Listing model, no Service Fees will be charged unless explicitly stated otherwise by POIZON.
请注意，这里的“出价”是指卖家对其指定的可供售卖的商品进行定价，并公示在POIZON平台上，接受POIZON平台上买家的确认与支付的行为。
Please note that the term “listing” herein refers to the pricing set by the Seller for the specified product available for sale and publicly displayed on the POIZON Platform, subject to confirmation and payment by buyers on the POIZON Platform.
3.2 账号使用。您应妥善保管登录POIZON平台的账号、密码等保密信息，当发生信息泄露或密码遗失时，您应立即向客服申请挂失。您登录账号后在POIZON平台中的一切操作均应符合法律法规、规章政策和法令的规定，还应符合本协议条款和相关规则的规定，上述您账户下的操作视为您的行为，由您承担全部责任。
3.2 Use of account. You should properly safeguard the confidential information such as account and password for logging into the POIZON Platform. In the event of information leakage or password loss, you should immediately apply for loss reporting to the customer service. All operations on the POIZON Platform after you login to your account should comply with laws, regulations, rules, policies, and regulations, as well as the terms of this Agreement and relevant rules. The operations under your account are deemed as your actions, and you shall bear all responsibilities.
3.3 信息提交。您应当向POIZON提供真实、合法、准确、有效的注册数据、第三方支付账户以及收货信息，并保证提供的内容的有效性及安全性，POIZON可以通过您预留的联系方式与您进行联系。同时，您也有义务在相关资料或信息实际变更时，及时更新有关资料或及时通知POIZON。
3.3 Submission of information. You shall provide POIZON with authentic, legal, accurate and valid registration data, the third party payment account and shipping information, and ensure the validity and security of the provided information. POIZON may contact you through the contact information you provided. Additionally, you are obligated to promptly update relevant information or notify the POIZON in a timely manner in the event of actual changes to the data or information.
3.4禁止销售范围。您确保出售的商品属于合法来源，您有权对该等商品进行出售；同时，您确保您出售的商品不属于适用法律管辖地区所明确禁止售卖或限制销售的商品，而且您出售的商品不得损害任何第三方合法权益（包括但不限于知识产权），否则您将承担相应的法律及赔偿责任。您应当留存商品相关合法来源凭证，当POIZON或者相关政府部门要求提供时，您应当配合提供。
3.4 Scope of prohibited sales. You shall ensure that the products sold are from a legal source and you have the right to sell such products. You shall also ensure that the products you sell is not explicitly prohibited or restricted for sale in the applicable jurisdiction by law and that the sale of your products does not infringe upon any third-party legal rights (including but not limited to intellectual property rights). Failure to comply will result in your corresponding legal and compensation responsibilities. If you are required to retain legitimate documentation related to the source of the products and should cooperate in providing this documentation when requested by the POIZON or relevant government authorities.
3.5 及时发货。您应当按照订单要求的商品、数量和时间及时、准确地进行发货。您因错发、漏发货的，因此产生的相关费用由您自行承担。如果您未按时完成发货或您发出的商品有任何瑕疵的，POIZON有权扣除您的待结算款项，也可视情节严重程度选择是否限制您的卖家权限。
3.5 Timely Delivery. You shall ensure that the products requested in the order, in the specified quantity and within the designated time frame, are promptly and accurately shipped. Any costs incurred due to mis-shipment or omission of products shall be borne by You. Failure to deliver on time or any defects in the products shipped by you may result in POIZON deducting your pending settlement amount and, depending on the severity of the situation, may restrict your rights as the Seller.
3.6交易秩序保障。您在使用服务进行交易的过程中应当遵守诚实信用的原则，确保您所发布的商品及/或服务信息真实、与您实际所销售的商品及/或提供的服务相符，并在交易过程中切实履行您的交易承诺。同时，您应维护互联网交易市场的良好秩序，不在交易过程中采取不正当竞争行为，不扰乱网上交易的正常秩序，不从事与网上交易无关的行为。
3.6 Transaction order Protection: During Your use of the service for transactions, you shall adhere to the principle of honesty and creditworthiness, ensuring that the information about the products and/or services you publish is true and consistent with the products and/or services you actually sell or provide. You shall fulfill your transaction commitments earnestly during the transaction process. Additionally, you are responsible for maintaining a good order in the online trading market, refraining from engaging in unfair competition during transactions, disrupting the normal order of online transactions, or engaging in activities unrelated to online transactions.
3.7不得隐瞒。您不得隐瞒任何可能对POIZON产生风险的事项，包括但不限于商品出现设计缺陷、质量瑕疵、权利纠纷、重大违约、上传数据包含病毒木马等，若发生此类影响平台商誉、正常交易、安全的事项的，POIZON有权解除本协议并追究相应责任。
3.7 No concealing. You shall not conceal matters that may bring risks to POIZON, including but not limited to product design defects, quality flaws, rights disputes, material breaches of contract, or uploading data with Trojan virus, etc. In the event of such matters affecting the platform's reputation, normal transactions, or security, POIZON reserves the right to terminate this Agreement and pursue corresponding liabilities.
3.8按约履行。您知悉并同意，您在POIZON平台上确定待售商品并进行出价的行为，即表示您发出了一个具有约束力的要约行为，您同意将您指定的商品售卖给POIZON平台上的买家。如果POIZON平台上有买家，通过平台的服务，愿意按照您的出价购买该指定商品，并接受您的报价，那么您与买家的买卖合同成立，您需要按照法律的规定，以约定的价格向买家交付该指定商品。您在POIZON 平台进行出售的行为是您的本人的真实意思表示，您应对您的行为承担相应的法律责任，您出售的商品一经拍下，您即无权以任何理由取消该笔订单。
3.8 Due performance. You are aware and agree that, by confirming to list for sales of the product on POIZON Platform, you send a binding offer and consent to sell the specified products to buyers on the POIZON Platform. If a buyer on the POIZON Platform, through the Platform’s services, is willing to purchase the specified products at your listing price and accepts your offer, a contract of sale is formed between you and the buyer, and you are obligated to deliver the specified products to the buyer at the agreed price in accordance with the law. Your actions of selling on the POIZON Platform represent your genuine intention, and you are legally responsible for your actions. Once the products are sold, you have no right to cancel the transaction for any reason.
3.9依法缴税。您应当按照适用法律管辖地区有关的税法及其他相关法律法规，及时、足额地向当地税务部门申报纳税和缴纳税额，若您未足额缴纳税款导致POIZON遭受任何损失的，POIZON平台有权限制您的卖家权限并冻结您的货款。
3.9 Payment of taxes according to applicable law. You are required to comply with the relevant tax laws and other applicable regulations in your jurisdiction, and to promptly and fully declare and pay taxes to the local tax authorities. If your failure to fully pay taxes results in any losses to POIZON, we have the right to restrict your rights as the Seller and freeze your funds.
3.10 消费者保障。您了解并同意，您作为消费者保障的责任主体，应当遵照适用法律管辖地区有关的法律法规、特别是适用法律管辖地区关于商品销售的规定、消费者保护的规定及《用户服务协议》的规则履行消费者保障的各项义务，包括基础消费者保障服务，如商品如实描述等，具体以对应的法律规定及关联服务协议与规则约定为准。
3.10 Consumer protection. You understand and agree that, as the responsible party for consumer protection, you are obligated to comply with the relevant laws and regulations in your jurisdiction, particularly those concerning the sale of products, consumer protection regulations, and the rules specified in the Terms of Use, to fulfill the various obligations of consumer protection. Such obligations include but are not limited to truthful description of products, which shall be subject to the corresponding laws, affiliated service agreements and rules.
3.11 制裁规定。您必须遵守适用于您的交易的任何制裁合规要求，包括适用于POIZON、卖家或任何买方的任何法律的任何更新，并且必须赔偿POIZON因您违反任何制裁法律而产生的任何经济损失。
3.11 Sanctions. You must comply with any sanctions compliance requirements that apply to your transactions, including any updates to any laws that apply to POIZON, any Seller or Buyer and must indemnify POIZON against any claim resulting from any breach by you of any sanctions law.
四、 POIZON平台权利及义务
IV. Rights and Obligations of POIZON
4.1因网上交易平台的特殊性，POIZON对相关内容进行判别，判断认为这些内容或行为具有违法或不当性质的，发现注册数据或交易行为中存在任何问题或怀疑，均有权向您发送询问或要求改正的通知，并根据不同情况对您采取限制性措施或停止对您提供服务，您同意由于排版错误或信息错误导致商品以不正确或明显不合理的价格或信息显示的，POIZON有权取消该等不正确或明显不合理价格或信息的商品订单的权利。并保留就您的行为给POIZON及其他权利人造成的损失进行追偿的权利。
4.1 Due to the unique nature of online trading platforms, POIZON assesses relevant content. If it is determined that such content or behavior is illegal or improper, or if any issues or suspicions are found in your registration data or transaction behavior, POIZON reserves the right to send you inquiries or requests for correction. Depending on the circumstances, restrictive measures may be taken against you or services may be suspended. You agree that in the event of formatting errors or information inaccuracies leading to incorrect or significantly unreasonable prices or information displayed for products, we have the right to cancel orders for such products with incorrect or significantly unreasonable prices or information. Furthermore, we reserve the right to seek compensation for any losses incurred as a result of your actions, either to POIZON or other rights holders.
4.2您同意在因为商品交易导致您和第三方发生纠纷时，或根据适用法律法规要求，授权POIZON向相对人及或政府相关部门披露您的个人卖家信息及相关订单信息。
4.2 You agree to authorize POIZON to disclose your information as the Seller and the relevant Purchase Order information to the counterpart and/or the relevant government departments in the case of any dispute arising between you and third parties caused by the transaction, or as required by the applicable laws and regulations.
4.3如您违反卖家义务及POIZON平台相关协议及规则的，POIZON有权采取包括但不限于暂停部分或全部服务、关闭交易订单、封号、禁售、冻结资金等措施，并保留采取进一步法律措施的权利。
4.3 If you violate the Seller's obligations and the relevant agreements and rules of the POIZON Platform, POIZON has the right to take actions including but not limited to suspending some or all services, cancelling Purchase Orders, account suspension, sales restrictions, fund freezing, and reserves the right to take further legal actions.
4.4 POIZON有权基于为您提供的服务向您收取平台服务费，也可能根据业务调整而变更向您提供服务的主体，变更后的主体履行本协议项下义务向您提供服务，前述变更不会影响您在本协议项下权益。发生争议时，您可根据具体使用的服务及对您权益产生影响的对象确认争议主体。
4.4 POIZON is entitled to charge you the Service Fees based on the services provided to you and may also change the entity providing the services to you based on business adjustments. The new entity will fulfill the obligations under this Agreement to provide you with the services, and such change will not affect your rights and interests hereunder. In the event of a dispute, you may determine the entity involved in the dispute based on the specific services used and the entity that impacts your rights and interests.
4.5 为更好的提供平台服务，您理解并同意POIZON有权委托其关联方或其他代理人履行本协议项下的义务，POIZON将确保前述关联方或代理人根据本协议条款以及您的商品销售地政策法规履行我们在本协议项下的义务，但该等情形不会影响本协议的效力，以及卖家与POIZON依据本协议所享有的权利和承担的义务、责任。
4.5 For the better provision of Platform services, you understand and agree that POIZON is entitled to authorize their affiliates or other agents to fulfill its obligations under this Agreement. POIZON will ensure that such affiliates or agents fulfill our obligations under this Agreement and comply with policies and regulations of the areas that your products are sold to. Such arrangement will not affect the validity and effectiveness of this Agreement or the rights, obligations, and responsibilities of the Seller and POIZON under this Agreement.
4.6 您同意，若已结算完毕您的销售货款，但您出售的商品出现退货且POIZON平台或其指定的主体已经向买家完成了赔付的情况下，POIZON平台指定的主体有权获得您出售的商品的所有权。
4.6 You agree that if your sales proceeds have been settled to you, but the products you sold are subject to returns and POIZON or its designated entity has already provided compensation to the buyer, POIZON’s designated entity reserves the right to claim ownership of the products sold by you.
五、关于卖家服务费用
V. Service Fees
5.1 POIZON平台服务费用。
5.1 POIZON Service Fees
您出售商品时需要向POIZON平台支付平台服务费，具体类型和金额以POIZON平台的出价页面、卖家规则页面或其他页面展示为准。POIZON平台有权随时自行调整平台服务费率。
You shall pay POIZON the Service Fees for the transaction of your products. The specific type and amount shall be subject to those displayed on the product listing page, seller rules page or other pages on the POIZON Platform. POIZON is entitled to adjust the Service Fees in its sole discretion from time to time.
本协议项下，POIZON HOLDING PTE. LTD.负责向您提供POIZON平台的服务账户申请审核、网络空间、技术支持、系统维护、商品配送等服务，收取技术服务费、操作服务费、交易处理手续费和其他费用项（如有）；在韩国模式下，POZON POIZON HOLDING PTE. LTD. 收取技术服务费、操作服务费和其他费用项（如有），且作为POIZON平台附加和增值服务，为您接受和结算货款之便利，得物（香港）供应链有限公司将负责向您提供POIZON平台的商家结算技术服务，收取交易处理手续费。您知晓并同意：若签约日早于2025年1月1日，本协议应自2025年1月1日起替代您与POIZON HOLDING PTE. LTD. 及POIZON GLOBAL Limited之前签署的《卖家协议》（“早期协议”），且本协议生效日为2025年1月1日；若签约日晚于2025年1月1日但早于页首本协议更新日期2025年8月21日， 本协议应自签约日起替代早期协议，且签约日与生效日相同。
Under this Agreement, POIZON HOLDING PTE. LTD. is responsible for providing services such as the review of your service account application, network space, technical support, system maintenance, and product delivery, etc. POIZON HOLDING PTE. LTD. shall charge Seller Fees, Operation Service Fees, Processing Fees and other applicable fees (if any). Under the Korea Model, POIZON HOLDING PTE. LTD. shall charge Seller Fees, Operation Service Fees and other applicable fees (if any), and as the ancillary and enhanced service relating to the POIZON Platform, and for any convenience for you to collect and settle good payments, De Wu (HK) Supply Chain Company Limited is responsible for providing technology services for settlement with sellers on the POIZON Platform and will charge Processing Fees. You acknowledge and agree that if the signing date is before January 1st, 2025, this Agreement shall replace the Seller Agreement previously signed between you, POIZON HOLDING PTE. LTD. and POIZON GLOBAL Limited (the “Previous Agreement”) as of January 1st, 2025 and this Agreement shall become effective on January 1st, 2025; If the signing date is after January 1st, 2025, but before the update date of this Agreement on the first page (August 21st, 2025), this Agreement shall replace the Previous Agreement as of the signing date and become effective on the signing date.
5.2运费、查验鉴别服务费及其他费用。
5.2 Freight, Inspection and Authentication Service Fees and Other Fees.
（1）您需要承担商品的运输费，包括但不限于，商品寄送至POIZON指定收货地址的国际运输费、所有海关关税，税金和任何其他相关费用。
(1) You are required to bear the transportation costs of the products, including but not limited to international shipping fees, all customs duties, taxes, and any other related charges for the delivery of products to the POIZON’s designated receiving address.
（2）您已经支付的平台服务费已经包括第三方商品查验鉴别服务费。但是，请注意，由于您的自身原因（包括但不限于商品查验鉴别不通过、商品质量问题等）导致交易订单取消/关闭以及其他情况，从而致使我们需要将商品回寄给您，则您需要承担商品查验鉴别服务费、包装服务费等及退货产生的快递物流等成本费用，POIZON有权直接从您的待结算款项中直接扣除相应费用。
(2) The Service Fees you have already paid includes third-party product inspection and authentication service fees. However, please note that if, due to your own reasons (including but not limited to failed product inspection and authentication, product quality issues, etc.), a transaction order is canceled/terminated or other situations arise that require us to return the product to you, you will be responsible for the costs incurred, including product inspection and authentication service fees, packaging service fees, as well as courier logistics costs for returns. POIZON reserves the right to deduct the corresponding fees directly from your pending settlement funds.
您理解并同意，POIZON或第三方物流快递公司可能会调整该费用标准，请以我们和第三方物流快递公司的公告/更新的规则为准。
You understand and agree that the Service Fees may be adjusted by POIZON or the third party express/ logistics company. Please refer to the updated rules of us and the third party express/ logistics company.
六、交易款项处理
VI. Transaction Payment Processing Arrangement
6.1交易处理服务
6.1 Transaction payment processing services
仅为便于您通过POIZON平台达成交易所需，作为POIZON平台的辅助和增值服务，您特此授权得物（香港）供应链有限公司（作为POIZON平台的联合运营方之一）和/或我们在相关司法辖区的关联方或委托代理人（统称为“收款代理人”）根据本协议为您收取、持有和结算销售货款及／或其他相关款项。
Solely for the purpose of facilitating transactions on the POIZON Platform, as the ancillary and enhanced services of the POIZON Platform, you hereby authorize De Wu (HK) Supply Chain Company Limited (as one of the Joint Platform Operators) and/or our entrusted affiliates or agents in the relevant jurisdictions (collectively, the “Payment Collection Agent”) to collect, hold, and settle the proceeds from the sale of products and/or any other related amounts on your behalf in accordance with this Agreement.
6.2 收款代理人在交易处理服务中的职能
6.2 Role of the Payment Collection Agent in transaction payment processing services
在您遵守本协议及POIZON平台所有相关规则的前提下：
1. 收取买家资金: 当买家在POIZON平台上购买您的商品时，收款代理人将代表您向买家收取该商品对价(“交易价款”)。您可在次日通过POIZON卖家中心-账单管理中查询您的在指定日期收取的交易价款金额;
2. 扣除税费和其他费用: 成功收取买家交易货款后，收款代理人将从交易价款中扣除(i) 根据相关法律需由收款代理人或POIZON代扣代缴的任何税费(ii) 您需向我们支付的服务费及其他相关款项（如违约金、赔偿金等）；和
3. 向卖家结算款项: 收款代理人将在商品检验后5个工作日内将剩余款项结算给卖家。如果发生（i）您向我们提供的收款账户存在任何错误信息，（ii）银行系统更新或升级，或（iii）不可抗力等情形，结算时间将将根据前述情况得到有效解决后相应顺延。
Subject to your compliance with the terms of this Agreement and all relevant rules of the POIZON Platform:
1. collect fund from buyers: upon a buyer purchasing your products on the POIZON Platform, the Payment Collection Agent shall collect the consideration for such transaction (“Purchase Price”) from the buyer on your behalf. You may check the Purchase Price received by the Payment Collection Agent on your behalf on any specific day through the POIZON Seller Center - Bill Management Center on the following day;
2. deduct tax and charges: After successfully collecting the payment from the buyer for the transaction, the Payment Collection Agent will deduct (i) any taxes required to be withheld or paid by the Payment Collection Agent or POIZON under relevant laws, and (ii) Service Fees and other related amounts payable by you (such as liquidated damages, compensation, etc.) from the Transaction Price.
3. Settlement of Funds to Seller: The Payment Collection Agent will settle the remaining amount to the seller within five (5) working days after the inspection and authentication of the products. If there are any discrepancies in the payment account information provided by you, updates or upgrades to bank systems, or events of force majeure, etc., the settlement time will be extended accordingly after the aforementioned issues are effectively resolved.

您同意并理解，收款代理人代表您收到的付款视为买家已完成向您付款的义务，无论收款代理人是否向您结算此类付款。如果收款代理人未按照本协议规定向您支付任何此类付款，您只能向收款代理人追索，而不能向买家追索。
You agree and understand that a payment received by the Payment Collection Agent on your behalf shall be deemed as completion of the buyer's obligation to make payment to you, regardless of whether the Payment Collection Agent settles such payment with you or not. If the Payment Collection Agent fails to make any such payment to you as described in this Agreement, your recourse is only against the Payment Collection Agent and not against the buyer.
6.4您对待结算款项不享有收益
6.4 No Entitlement to Interest on Outstanding Settlement Funds
您无权获得收款代理人代您持有货款及／或其他相关款项时所产生的利息或其他收入。
You are not entitled to any interest or other income generated from the funds or any other related amounts held by the Payment Collection Agent on your behalf.
6.5收款代理人的其他权利和义务
6.5 Other rights and obligations of the Payment Collection Agent
收款代理人可能会遵照任何政府或司法命令，扣押或征收应支付给您的款项，并且在按照法院命令将任何该等款项支付给政府机构或法院命令要求的第三方之后，即不再负有向您支付该等款项的义务。
The Payment Collection Agent may comply with any government or judicial order to withhold or levy any amount payable to you, and after paying any such amount to a government agency or third party in accordance with a court order, the Payment Collection Agent will no longer be obligated to pay you such amounts.
收款代理人保留随时单方面停止提供任何部分的付款交易处理服务的权利。
The Payment Collection Agent reserves the right to unilaterally cease providing any part of its transaction payment processing services at any time.
收款代理人不对您的任何作为或不作为（包括但不限于您违反本协议或任何适用法律的任何行为）承担任何责任。
The Payment Collection Agent shall not be liable for any of your act or omission (including but not limited to your violation under this Agreement or any applicable laws).
您同意，我们向买家发送交易进度信息，以验证买家（向收款代理人）支付的款项是否满足了买家对订单的付款义务。
You agree that we will send transaction progress information to the buyer to verify whether the buyer’s payment to the Payment Collection Agent fulfills the buyer's payment obligation for the Purchase Order.

您在POIZON平台自行出价销售，POIZON平台不对您的出价进行干预。
You make listing for sales on the POIZON Platform, and POIZON does not intervene in your listing.

您出售商品的货款结算时间、结算金额和其他结算规则以POIZON平台页面最终向您展示的为准。
The settlement cycle for the proceeds from your sold items, the settlement amount, and other settlement rules will be determined by what is ultimately displayed on the POIZON Platform.

发货规则、快递和发货截止日期、标准及要求以POIZON平台显示的订单履行规则为准。
Shipping rules, courier and shipment deadline, standards and requirements shall be subject to the order fulfillment rules displayed on the POIZON Platform.

（1）您可视情况自愿选择使用POIZON合作物流快递公司提供的配送服务，并确认服务若涉及货损均有一定赔付限额。具体服务费率、赔付限额及索赔程序等参见平台页面展示规则。
(1) You may voluntarily choose to use the shipping services provided by the logistics and express companies cooperating with POIZON, and acknowledge that there is a certain compensation limit for any damage to products involved in the services. Please refer to the POIZON Platform rules for specific service rates, compensation limits, and claims procedures.
（2）若商品入库、配送过程中因您的原因（商品错发、多发或配送信息填错等）导致发生异常，并且您未在POIZON或第三方物流快递公司通知之日起14个自然日内消除异常事由且给出处理意见的，我们将有权对商品采取销毁等处理方式。您知晓并承诺因此导致的费用我们有权向您追索。具体内容参见平台页面展示规则。
(2) If abnormalities occur during the warehousing or delivery process due to your reasons (such as incorrect delivery of products, over-delivery, or incorrect delivery information), and you fail to cure the abnormalities and provide a solution within 14 calendar days from the date of notification by POIZON or third-party logistics courier companies, we reserve the right to dispose of the products, including destruction. You acknowledge and agree that we have the right to seek reimbursement for any resulting costs. For more details, please refer to the rules displayed on the POIZON Platform.
八、商品查验鉴别
VIII. Product inspection and authentication
8.1请您在将商品寄送至POIZON进行查验鉴别前，仔细核验自身商品情况，确保商品不存在下述问题。POIZON将对您的商品依据下述查验鉴别标准进行查验鉴别。 POIZON平台有权对本第8.1条的查验鉴别标准进行不时更新，具体规则以POIZON平台展示的为准:
8.1 Before sending your items to POIZON for inspection and authentication, please carefully verify the condition of your items to ensure they do not have any of the issues listed below. POIZON will inspect and authenticate your items based on the following standards. POIZON reserves the right to update these inspection and authentication standards from time to time, and the specific rules will be based on what is displayed on the POIZON Platform:
非表类商品：
Products except for watches:
（1）商品出现明显氧化、开胶、开裂、污渍、划痕、染色、破损、磨损等质量问题；
(1) The product has obvious quality problems, such as oxidation, glue failure, cracking, stains, scratches, dyeing, breakage, abrasion, etc.;
（2）商品实物名称、款号、色号、尺码等与订单信息不符；
(2) Name, model, color or size of the product is inconsistent with the Purchase Order;
（3）商品与外盒（外包装）、配件不配套；
(3) The product does not match with the outer box (outer package) and accessories;
（4）商品缺少配件，包括但不限于鞋垫、盒盖、吊牌等；
(4) The product is short of accessories, including but not limited to shoe-pad, box cover, hang tag, etc.;
（5）商品有明显使用痕迹；
(5) The product shows obvious signs of use;
（6）商品明显疑似假冒伪劣商品。
(6) The product is obviously suspected to be counterfeit goods.
表类商品：
Watches:
（1）商品存在明显氧化、划痕、污渍、磕碰、磨损、缺零配件等质量问题；
(1) The product has obvious quality problems, such as oxidation, scratches, stains, collisions, abrasion, short of accessories, etc.;
（2）商品存在实物名称、品牌系列、外包装、型号、颜色等与订单信息不符的情形；
(2) The product does not match the Purchase Order information in terms of name, brand series, packaging, model, color, etc.;
（3）商品存在与外盒（外包装）、配件不配套的情形；
(3) The product does not match with the outer box (outer package) and accessories;
（4）商品存在缺少配件的情形，配件不配套，包括但不限于表盒、说明书、吊牌等；
(4) The product is missing accessories, or the accessories are not complete, including but not limited to watch boxes, instructions, tags, etc.;
（5）商品存在外包装破损、严重折痕及撕裂等情形；
(5) The product's outer packaging is damaged, severely creased, or torn, etc.;
（6）商品存在功能调试异常、失灵、机械表走时不准、石英表没电、指针不联动等功能问题；
(6) The product has functional abnormalities, malfunctions, inaccurate timekeeping for mechanical watches, quartz watches with no battery power, and issues with hands not moving in sync, etc.,
（7）商品存在明显使用过的痕迹；
(7) The product shows obvious signs of use;
（8）商品明显疑似假冒伪劣商品；
(8) The product is obviously suspected to be counterfeit goods;
（9）商品明显疑似不符合商品原厂制造工艺及配置。
(9) The product appears to deviate significantly from the original factory manufacturing process and configuration.
8.2为确保商品的质量，POIZON可能会委托第三方查验鉴别服务商对商品进行拆封查验鉴别，查验鉴别通过后的商品将会重新包装后向买家进行发货。
8.2 To ensure the quality of product, POIZON may entrust a third-party inspection and authentication services provider to unpack, inspect and authenticate the product. Once the inspection and authentication are passed, the product will be repackaged and shipped to the buyer.
8.3 查验不通过的商品，您可选择通过快递退回。请注意，POIZON没有主动退回商品的义务。如果您在POIZON通知的时间内未作出回应或支付相关快递费用，POIZON有权自行处理该商品。此外，POIZON保留将假冒商品销毁或移交至相关监管部门的权利。
8.3 For products that fail the inspection and authentication, you may choose to return them via courier. POIZON is not obligated to return the products proactively. If you do not respond or pay the relevant courier fees by the time specified by POIZON, POIZON reserves the right to dispose of the products at its discretion. Furthermore, POIZON retains the right to destroy or transfer counterfeit products to the relevant regulatory authorities.
8.4 您知晓并承诺，向POIZON提供的商品安全使用有效期信息准确、真实、有效，符合POIZON平台消费者所在地关于产品质量安全的相关规定，并承担一切由于商品安全使用有效期信息错误及其他产品质量安全问题所导致的法律责任。
8.4 You acknowledge and warrant that the information provided to POIZON regarding the safe usage period of the products is accurate, true, and valid, and complies with all applicable regulations concerning product quality and safety in the consumer's jurisdiction. Furthermore, you agree to assume all legal liabilities arising from any inaccuracies in the safe usage period information or other quality and safety issues of the products.

IX. Termination
9.1 终止的情形
9.1 Termination Scenarios
【卖家发起的终止】当出现以下任一情形时，您有权终止本协议：
[Seller-Initiated Termination] You have the right to terminate this Agreement when any of the following situations occur:
（1）在满足POIZON平台公示的账户注销条件时您通过POIZON平台自助服务注销您的账户的；
(1) When you meet the account cancellation conditions displayed by the POIZON Platform, you can terminate this Agreement by canceling your account through the self-service options provided by the POIZON Platform;
（2）变更事项生效前您停止使用并明示不愿接受变更事项的；
(2) Before the changes take effect, you may terminate this Agreement by ceasing to use the services and explicitly indicating your unwillingness to accept the changes.
（3）您明示不愿继续使用卖家服务，且符合POIZON平台终止条件的。
(3) You explicitly indicate your unwillingness to continue using seller services and meet the termination conditions specified by the POIZON Platform.
【POIZON平台发起的终止】当出现以下情况之一时，POIZON可以书面或口头的方式通知您终止本协议：
[POIZON-Initiated Termination] In any of the following situations, POIZON is entitled to terminate this Agreement by serving a written or oral notice to you:
（1）您违反本协议以及《用户服务协议》及关联政策和条款的约定，POIZON依据违约条款终止本协议的；
(1) Where you breach this Agreement, the Terms of Use, and the relevant policies and terms, POIZON will terminate this Agreement in accordance with the relevant clause;
（2）您盗用他人账户、发布违禁信息、骗取他人财物、售假、扰乱市场秩序、采取不正当手段谋利等行为，POIZON依据POIZON平台规则对您的账户予以查封的；
(2) If you engage in activities such as unauthorized use of another person's account, posting prohibited content, fraudulent activities, selling counterfeit goods, disrupting market order, or seeking profit through improper means, POIZON may suspend and close your account in accordance with POIZON Platform rules.
（3）除上述情形外，因您多次违反POIZON平台规则相关规定且情节严重，POIZON依据POIZON平台规则对您的账户予以查封的；
(3) In addition to the aforementioned circumstances, if you repeatedly violate the relevant rules of the POIZON Platform and the circumstances are severe, POIZON may suspend and close your account in accordance with POIZON Platform rules;
（4）您存在欺诈、发布或销售假冒伪劣/侵权商品、侵犯他人合法权益或其他严重违法违约行为的；
(4) You are engaged in fraudulent activities, posting or selling counterfeit/infringing products, infringing on the legitimate rights and interests of others, or other serious illegal or non-compliant behaviors;
（5）其它应当终止服务的情况。
(5) Other circumstances where termination of the service is justified.
9.2 协议终止后的处理
9.2 Post-Termination Matters
（1）本协议终止后，POIZON仍享有权利：在法律允许的范围内，继续保存您留存于POIZON平台上的各类信息；对于您过往的违约行为，POIZON仍可依据本协议向您追究违约责任。
(1) After termination of this Agreement, POIZON still reserves the right to, within the scope permitted by law, continue to retain all kinds of information you have stored on the POIZON Platform; POIZON may still pursue you for any past breach of contract actions according to the terms of this Agreement.
（2）本协议终止后，对于您在本协议存续期间产生的交易订单，POIZON可通知买家并根据交易买家的意愿决定是否关闭该等交易订单；如买家要求继续履行的，则您应当就该等交易订单继续履行本协议及交易订单的约定，并承担因此产生的任何损失或增加的任何费用。
(2) After the termination of this Agreement, for the Purchase Order generated during the term of this Agreement, POIZON may notify the buyer and decide whether to close such Purchase Order based on the buyer's willingness. If the buyer requests continued fulfillment, you should continue to fulfill the terms of this Agreement and the Purchase Orders, and bear any losses or additional expenses incurred.
十、其他
X. Miscellaneous
10.1 法律适用与管辖。
10.1 Governing laws and jurisdiction.
本协议受新加坡法律管辖并据此进行解释，不考虑冲突法规则或原则。因本协议产生或与其相关的任何争议，包括关于本协议的存续、效力或终止的任何问题，应提交新加坡国际仲裁中心（“SIAC”），根据届时有效的新加坡国际仲裁中心仲裁规则（“SIAC 规则”）执行仲裁并最终解决，该规则应视为已包括在本条款中。仲裁地点为新加坡，仲裁庭由三 (3) 仲裁员组成。仲裁语言为英语。本仲裁条款应受新加坡法律管辖。
各方同意在解决争议（包括通过仲裁）期间继续履行其本协议项下的义务，除非争议问题妨碍履约，且不限制任何一方根据本协议终止的权利。
This Agreement is governed by and construed in accordance with the laws of Singapore, without regard to any conflict-of-law rules or principles. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this Clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of three (3) arbitrator(s). The language of the arbitration shall be English. This arbitration agreement shall be governed by Singapore law.
Each Party agrees to continue to perform its obligations under this Agreement while a dispute is being resolved (including by way of arbitration), except to the extent the issue in dispute precludes performance and without limiting either party’s right to terminate under this Agreement.
10.2 可分割性。本协议任一条款被视为废止、无效或不可执行，该条应视为可分的且并不影响本协议其余条款的有效性及可执行性。
10.2 Severability. If any provision hereof becomes abolished, invalid or unenforceable, the provision shall be deemed as severable and shall not affect the validity and enforceability of the remaining provisions herein.
10.3 本协议由POIZON制定并公示，属于《用户服务协议》的组成部分， POIZON有权对本协议进行调整与修改，并通过更新平台协议等方式通知您后执行。如您对已生效的变更事项仍不同意的，您应当于变更事项生效之日起停止使用POIZON平台的卖家服务，变更事项则对您不产生效力；如您在变更事项生效后仍继续使用POIZON平台卖家服务，则视为您同意已生效的变更事项。
10.3 This Agreement was stipulated and published by POIZON and is an integral part of the Terms of Use. POIZON is entitled to adjust and modify this Agreement, and notify you by updating the relative agreement or by other means before effectiveness. If you disagree with the effective change, you shall stop using the seller services of POIZON Platform from the effective date of the change, and the change will not be binding on you. Otherwise, it will be deemed that you agree to the effective change.
10.4 本协议可能存在多个语言版本，若英文版本与其他语言版本存在差异或不一致，则应以英文版本为准。
10.4 This Agreement may be translated into several languages, the English version shall prevail and control in all aspects and in the event of discrepancies or inconsistencies between the English and translated versions.

정의
1. “POIZON” (또는 "당사")는 다음을 의미합니다.
(A) 귀하가 한국의 판매자이고 한국 고객에게 제품을 판매하며 직접입찰 모델(“한국 모델”을 선택한 경우, POIZON Holding Pte. Ltd. 및 De Wu (HK) Supply Chain Company Limited(총칭하여, “공동 운영사”) 또는
(b) 귀하가 한국 모델을 이용하지 않는 경우, POIZON Holding Pte. Ltd.
2. “플랫폼”은 POIZON이 기술 지원 및 서비스를 제공하는 POIZON APP으로 알려진 애플리케이션, 웹사이트(www.poizon.com) 또는 다른 형태의 서비스(예: H5 웹페이지)를 의미하며, POIZON은 때때로 자유 재량에 따라 플랫폼의 이름, 도메인 이름 또는 기타 관련 요소를 수정할 권리를 보유합니다.
II. POIZON 플랫폼의 적격 판매자 조건
2.1 제품을 양도하거나 판매하기 위해 POIZON 플랫폼의 적격 판매자로 등록하려면 다음 조건을 충족해야 합니다.
(1) 귀하는 반드시 최소 18세 이상이어야 하며 독립적으로 본 계약에 따른 법적 책임을 질 수 있어야 합니다.
(2) 귀하는 본 계약서, POIZON 플랫폼 이용 약관, 기타 관련 계약, 규정 및 약관에 동의하고 이를 수락해야 합니다.
(3) 판매되는 제품은 관련 법률 및 규정을 준수하여 합법적으로 조달되며, 제3자의 적법한 권리와 이익을 침해하지 않습니다.
(4) 개인 신원 인증을 완료하려면 특정 개인 정보를 제출해야 합니다.
(5) 귀하와 귀하의 제품은 수출 통제 및 제재 법률을 포함하며 이에 국한되지 않는 해당 법률, 규정, 규칙, 관련 정부 당국의 요건 및 산업 표준을 준수해야 합니다.
III. 판매자의 권리 및 의무
3.1 판매 수수료. 귀하는 제품 판매 시 POIZON에 판매 수수료를 지불해야 합니다. 구체적인 금액은 POIZON 플랫폼의 입찰 페이지, 규정 페이지 또는 기타 관련 페이지에 나와 있는 내용을 따릅니다.
귀하가 POIZON 위탁입찰 모델을 선택하는 경우, POIZON이 별도로 명시하지 않는 한 판매 수수료가 부과되지 않습니다.
여기에서 “입찰”이라는 용어는 판매자가 판매 가능한 특정 제품에 책정하고 POIZON 플랫폼에 공시하여 POIZON 플랫폼상의 구매자가 확인하고 결제하는 가격을 의미합니다.
3.2 계정 이용 귀하는 POIZON 플랫폼 로그인에 필요한 계정, 비밀번호와 같은 기밀 정보를 적절히 보호해야 합니다. 정보 유출 또는 비밀번호 분실 시에는 즉시 고객센터에 분실 신고를 해야 합니다. 귀하가 귀하의 계정에 로그인한 후 POIZON 플랫폼에서 수행하는 모든 작업은 법률, 규정, 규칙 및 정책, 그리고 본 계약의 약관과 관련 규정을 준수해야 합니다. 귀하의 계정에서 수행되는 모든 작업은 귀하의 행위로 간주되며, 귀하가 이에 대한 모든 책임을 져야 합니다.
3.3 정보 제출 귀하는 POIZON에 진실되고 적법하며 정확하고 유효한 등록 정보, 제3자 결제 정보 및 배송 정보를 제공해야 하며, 제공된 정보의 유효성과 보안을 보장해야 합니다. POIZON은 귀하가 제공한 연락처 정보를 통해 귀하에게 연락할 수 있습니다. 또한, 귀하는 데이터 또는 정보에 실제 변경 사항이 있는 경우 관련 정보를 즉시 업데이트하거나 POIZON에 시기적절하게 통지할 의무가 있습니다.
3.4 판매 금지 범위 귀하는 판매되는 제품이 적법한 공급처로부터 조달된 것임을 보장해야 하며, 귀하는 그러한 제품을 판매할 권리가 있습니다. 또한, 귀하는 귀하가 판매하는 제품이 해당 관할 구역에서 법률에 의해 명시적으로 판매가 금지되거나 제한된 제품이 아니며, 귀하의 제품 판매가 어떠한 제3자의 법적 권리(지적재산권을 포함하며 이에 국한되지 않음)도 침해하지 않음을 보장해야 합니다. 이를 준수하지 않을 경우 귀하에게 해당 법적 책임 및 보상 책임이 부과됩니다. 제품 공급처와 관련된 적법한 문서를 보관해야 하는 경우, 귀하는 POIZON 또는 관련 정부 당국이 요청하는 경우 해당 문서를 제공하는 데 협조해야 합니다.
3.5 적시 배송 귀하는 주문에 요청된 제품이 지정된 수량으로 지정된 기간 내에 신속하고 정확하게 배송되도록 보장해야 합니다. 제품의 오배송 또는 누락으로 인해 발생하는 모든 비용은 귀하가 부담합니다. 귀하가 제품을 제시간에 배송하지 못하거나 귀하가 배송한 제품에 결함이 있는 경우 POIZON은 귀하의 보류 중인 정산 금액에서 차감하거나, 상황의 심각성에 따라 판매자로서 귀하의 권리를 제한할 수 있습니다.
3.6 거래 질서 보호: 귀하는 거래를 위해 서비스를 이용하는 동안 정직성과 신용성의 원칙을 준수해야 하며, 귀하가 게시하는 제품 및/또는 서비스에 대한 정보가 사실이고 실제로 판매 또는 제공하는 제품 및/서비스와 일치해야 합니다. 귀하는 거래 과정에서 귀하의 거래 약속을 성실히 이행해야 합니다. 또한, 귀하는 건전한 온라인 상거래 질서를 유지할 책임이 있으며, 거래 과정에서 불공정 경쟁에 참여하거나, 온라인 거래의 정상적인 질서를 어지럽히거나, 온라인 거래와 관련이 없는 활동에 참여하는 것을 삼가해야 합니다.
3.7 은폐 금지 귀하는 제품 설계 결함, 품질 결함, 권리 분쟁, 중대한 계약 위반 또는 트로이 목마 바이러스를 포함한 데이터 업로드를 포함하며 이에 국한되지 않는, POIZON에 위험을 초래할 수 있는 문제를 은폐해서는 안 됩니다. 이러한 문제가 플랫폼의 평판, 정상적인 거래, 또는 보안에 영향을 미치는 경우, POIZON은 본 계약을 종료하고 해당 책임을 추궁할 권리를 보유합니다.
3.8 적정 이행 귀하는 POIZON 플랫폼에서 제품 판매를 위한 입찰을 확인함으로써 POIZON 플랫폼상의 구매자에게 구속력이 있는 제안을 하고 지정된 제품을 판매하는 데 동의함을 인정하고 이에 동의합니다. POIZON 플랫폼상의 구매자가 플랫폼의 서비스를 통해 귀하의 입찰 가격으로 지정된 제품을 구매할 의사가 있으며 귀하의 제안을 수락하는 경우, 귀하와 해당 구매자 간에 매매 계약이 체결되며, 귀하는 법률에 따라 지정된 제품을 해당 구매자에게 합의된 가격으로 배송할 의무가 있습니다. POIZON 플랫폼에서 귀하의 판매 행위는 귀하의 진정한 의도를 나타내며, 귀하는 귀하의 행위에 대해 법적인 책임이 있습니다. 제품이 판매되면 귀하는 어떠한 이유로도 거래를 취소할 권리가 없습니다.
3.9 해당 법률에 따른 세금 납부 귀하는 귀하 관할 구역의 관련 세법과 기타 적용 규정을 준수해야 하며, 현지 세무 당국에 세금을 신속하고 완전하게 신고하고 납부해야 합니다. 귀하가 세금을 완전히 납부하지 않아 POIZON에 손해를 초래하는 경우, 당사는 판매자로서 귀하의 권리를 제한하고 귀하의 자금을 동결할 권리가 있습니다.
3.10 소비자 보호 귀하는 소비자 보호에 책임이 있는 당사자로서 귀하 관할 구역의 관련 법률과 규정, 특히 제품 판매, 소비자 보호 규정 및 이용 약관에 명시된 규정을 준수하여 다양한 소비자 보호 의무를 이행할 의무가 있음을 이해하고 이에 동의합니다. 이러한 의무에는 해당 법률, 관련 서비스 계약 및 규정이 적용되는 제품에 대한 진실된 설명이 포함되며 이에 국한되지는 않습니다.
3.11 제재. 귀하는 POIZON, 모든 판매자 또는 구매자에게 적용되는 모든 법률의 업데이트를 포함하여 귀하의 거래에 적용되는 제재 준수 요건을 준수해야 하며, 귀하가 어떠한 제재 법률을 위반함으로써 발생하는 모든 청구에 대해 POIZON에 배상해야 합니다.
IV. POIZON의 권리 및 의무
4.1 온라인 거래 플랫폼이라는 고유한 특성으로 인해 POIZON은 관련 콘텐츠를 평가합니다. 그러한 콘텐츠 또는 행동이 위법하거나 부적절하다고 판단되는 경우, 또는 귀하의 등록 데이터 또는 거래 행위에서 어떠한 문제나 의혹이 발견되는 경우, POIZON은 귀하에게 문의하거나 수정을 요청할 권리를 보유합니다. 상황에 따라, 귀하에게 제한 조치가 취해지거나 서비스가 중단될 수 있습니다. 귀하는 포맷 오류 또는 정보의 부정확성으로 인해 제품에 표시된 가격이나 정보가 부정확하거나 매우 비합리적인 경우, 당사는 가격이나 정보가 부정확하거나 매우 비합리적인 그러한 제품에 대한 주문을 취소할 권리가 있음에 동의합니다. 또한, 당사는 귀하의 행동으로 인해 POIZON 또는 다른 권리 보유자에게 발생한 모든 손해에 대해 보상을 청구할 권리를 보유합니다.
4.2 귀하는 거래로 인해 귀하와 제3자 간에 분쟁이 발생하는 경우, 또는 해당 법률 및 규정에 따라 요구되는 경우, POIZON이 판매자로서 귀하의 정보와 관련 구매 주문 정보를 상대방 및/또는 관련 정부 부처에 공개하는 것을 승인하는 데 동의합니다.
4.3 귀하가 POIZON 플랫폼의 판매자 의무와 관련 계약 및 규정을 위반하는 경우, POIZON은 일부 또는 모든 서비스 중단, 구매 주문 취소, 계정 중단, 판매 제한, 자금 동결을 포함하며 이에 국한되지 않는 조치를 취할 권리가 있으며, 추가적인 법적 조치를 취할 권리를 보유합니다.
4.4 POIZON은 귀하에게 제공된 서비스에 따라 판매 수수료를 청구할 권리가 있으며 사업 조정에 따라 귀하에게 서비스를 제공하는 주체를 변경할 수도 있습니다. 새로운 주체는 본 계약에 따른 의무를 이행하며 귀하에게 서비스를 제공하고, 그러한 변경은 본 계약에 따른 귀하의 권리와 이익에 영향을 미치지 않습니다. 분쟁이 발생하는 경우, 귀하는 이용한 특정 서비스와 귀하의 권리와 이익에 영향을 미치는 주체를 기준으로 분쟁에 관련된 주체를 결정할 수 있습니다.
4.5 플랫폼 서비스를 더욱 잘 제공하기 위해, 귀하는 POIZON이 그 제휴사 또는 기타 에이전트가 본 계약에 따른 의무를 이행하도록 승인할 권리가 있음을 이해하고 이에 동의합니다. POIZON은 그러한 제휴사 또는 에이전트가 본 계약에 따라 당사의 의무를 이행하고 귀하의 제품이 판매되는 지역의 정책과 규정을 준수하도록 보장합니다. 이러한 방식은 본 계약의 유효성 및 효력 또는 본 계약에 따른 판매자와 POIZON의 권리, 의무, 책임에 영향을 미치지 않습니다.
4.6 판매 수익이 이미 귀하에게 지급되었지만, 판매된 해당 제품이 반품 대상이며 POIZON 또는 POIZON이 지정한 주체가 이미 구매자에게 보상을 제공한 경우, POIZON이 지정한 주체는 귀하가 판매한 해당 제품에 대한 소유권을 주장할 권리를 보유합니다.
V. 서비스 요금
5.1 POIZON 판매 수수료
귀하는 POIZON에 귀하의 제품의 거래에 대한 판매 수수료를 지불해야 합니다. 구체적인 유형과 금액은 POIZON 플랫폼의 입찰 페이지, 규정 페이지 또는 기타 페이지에 나와 있는 내용을 따릅니다. POIZON은 때때로 단독 재량에 따라 판매 수수료를 조정할 권리가 있습니다.
본 계약에 따라 POIZON HOLDING PTE. LTD.는 귀하의 서비스 계정 애플리케이션 리뷰, 네트워크 공간, 기술 지원, 시스템 유지보수, 제품 배송 등과 같은 서비스를 제공할 책임이 있습니다. POIZON HOLDING PTE. LTD.는 기본 수수료, 작업 수수료, 주문처리 수수료 및 기타 해당되는 수수료(있는 경우)를 청구합니다. 한국 모델의 경우, POIZON HOLDING PTE. LTD.는 기본 수수료, 작업 수수료 및 기타 해당되는 수수료(있는 경우)를 청구하며, POIZON 플랫폼과 관련된 보조적이고 향상된 서비스로서 양호한 수금 및 정산을 위한 편의를 위해, De Wu (HK) Supply Chain Company Limited는 POIZON 플랫폼에서 판매자의 정산을 위한 기술 서비스를 제공할 책임이 있으며 주문처리 수수료를 청구합니다. 귀하는 서명일이 2025년 1월 1일 이전인 경우 본 계약이 2025년 1월 1일부로 이전에 귀하와 POIZON HOLDING PTE. LTD. 및 POIZON GLOBAL Limited 간에 체결했던 판매자 계약(“이전 계약”)을 대체하며 본 계약은 2025년 1월 1일에 발효됨을 인정하고 이에 동의합니다. 서명일이 2025년 1월 1일 이후이지만 본 계약서의 첫 페이지에 있는 수정일(2025년 8월 21일) 이전인 경우, 본 계약은 서명일을 기준으로 이전 계약을 대체하며 서명일에 발효됩니다.
5.2 화물 운송, 검수, 감별 서비스 요금 및 기타 요금
(1) 귀하는 POIZON에서 지정한 수령 주소로 제품을 배송할 때 발생하는 국제 배송비, 모든 관세, 세금 및 기타 모든 관련 요금을 포함하며 이에 국한되지 않는 제품 운송 요금을 부담해야 합니다.
(2) 귀하가 이미 지불한 판매 수수료에는 제3자 제품 검수 및 감별 서비스 요금이 포함되어 있습니다. 그러나, 귀하의 사유(제품 검수 및 감별 미통과, 제품 품질 문제를 포함하며 이에 국한되지 않음)로 인해 거래 주문이 취소/종료되거나 당사가 제품을 귀하에게 반송해야 하는 기타 상황이 발생하는 경우, 귀하는 제품 검수 및 감별 서비스 요금, 포장 서비스 요금, 반송에 드는 운송업체 물류 비용을 포함하며 이에 국한되지 않는 모든 발생 비용을 책임집니다. POIZON은 귀하의 보류 중인 정산 자금 금액에서 해당 요금을 직접 차감할 권리를 보유합니다.
귀하는 서비스 요금이 POIZON 또는 제3자 운송/물류 기업에 의해 조정될 수 있음을 이해하고 이에 동의합니다. 당사와 제3자 운송/물류 기업의 업데이트된 규정을 참조하십시오.
VI. 거래 지불 처리 방식
6.1 거래 지불 처리 서비스
POIZON 플랫폼상의 거래를 용이하게 할 단독 목적으로, POIZON 플랫폼의 보조적이고 향상된 서비스로서, 귀하는 De Wu (HK) Supply Chain Company Limited (공동 플랫폼 운영사 중 하나로서) 및/또는 관련 관할 구역에서 당사에서 위임한 제휴사 또는 에이전트(총칭하여 “수금 에이전트”)가 본 계약에 따라 귀하를 대신하여 제품 판매 금액 및/또는 기타 관련 금액을 수집, 보유, 정산함을 승인합니다.
6.2 거래 지불금 처리 서비스에서 수금 에이전트의 역할
귀하가 본 계약의 약관 및 POIZON 플랫폼의 모든 관련 규정을 준수하는 경우:
6.3 수금 에이전트에 의한 거래 지불금 수령 효력
귀하는 수금 에이전트가 귀하를 대신하여 지불금을 수령함으로써, 수금 에이전트가 해당 지불금을 귀하에게 정산했는지 여부와 관계없이, 구매자가 귀하에 대한 지불 의무를 완료한 것으로 간주됨에 동의하고 이를 이해합니다. 수금 에이전트가 본 계약서에 설명된 바와 같이 귀하에게 그러한 지불을 하지 못하는 경우, 귀하의 상환 청구는 구매자가 아니라 수금 에이전트에 대해서만 이루어집니다.
6.4 미정산 자금의 이자에 대한 권리
귀하는 수금 에이전트가 귀하를 대신하여 보유하는 자금 또는 기타 모든 관련 금액에서 발생하는 이자 또는 기타 수익에 대한 권리가 없습니다.
6.5 수금 에이전트의 기타 권리 및 책임
수금 에이전트는 정부 또는 사법 명령에 따라 귀하에게 지급해야 할 금액을 원천징수하거나 징수할 수 있으며, 법원 명령에 따라 그러한 금액을 정부 기관 또는 제삼자에 지불한 후, 수금 에이전트는 더 이상 귀하에게 해당 금액을 지급할 의무가 없습니다.
수금 에이전트는 언제든지 거래 지불금 처리 서비스의 일부 제공을 일방적으로 중단할 권리를 보유합니다.
수금 에이전트는 귀하의 행위 또는 부작위(본 계약 또는 해당 법률에 대한 위반을 포함하며 이에 국한하지 않음)에 대해 책임을 지지 않습니다.
귀하는 수금 에이전트에 대한 구매자의 지불금이 구매 주문에 대한 구매자의 지불 의무를 이행하는지 여부를 확인시키기 위해 당사가 거래 진행 정보를 구매자에게 발송하는 것에 동의합니다.
VII. 판매자의 입찰, 정산, 배송에 대한 요건
71. 제품 입찰
귀하는 POIZON 플랫폼에서 판매를 위한 입찰을 하며, POIZON은 귀하의 입찰에 개입하지 않습니다.
7.2 지불금 정산
귀하가 판매한 물품에 대한 정산 주기, 정산 금액, 및 기타 정산 규정은 POIZON 플랫폼에 최종적으로 표시되는 내용에 따라 결정됩니다.
7.3 배송 규정
배송 규정, 운송업체 및 배송 기한, 표준 및 요건은 POIZON 플랫폼에 표시된 주문 이행 규정을 따릅니다.
7.4 기타 배송 공지
(1) 귀하는 POIZON과 협력하는 물류 및 운송 회사에서 제공하는 배송 서비스 이용을 자발적으로 선택할 수 있으며, 해당 서비스와 관련된 제품의 손상에 대해 일정한 보상 한도가 있음을 인정합니다. 구체적인 서비스 요율, 보상 한도 및 청구 절차에 대해서는 POIZON 플랫폼 규정을 참조하십시오.
(2) 귀하의 사유(예를 들어 제품의 오배송, 과다 배송 또는 잘못된 배송 정보)로 인해 창고 보관 또는 배송 과정에서 이상이 발생하고, POIZON 또는 제3자 물류업체가 이를 통지한 날로부터 14일 이내에 귀하가 이 이상 사항을 시정하고 해결책을 제시하지 못하면, 당사는 파기를 포함하여 제품을 폐기할 권리를 보유합니다. 귀하는 당사가 모든 결과 비용에 대해 상환을 청구할 권리가 있음을 인정하고 이에 동의합니다. 더 자세한 사항은 POIZON 플랫폼에 나와 있는 규정을 참조하십시오.
VIII. 제품 검수 및 감별
8.1 귀하의 물품을 검수 및 감별을 위해 발송하기 전에, 해당 물품의 상태를 주의깊게 확인하여 아래에 나열된 문제가 없는지 확인하십시오. POIZON은 다음의 기준에 따라 귀하의 물품을 검수하고 감별합니다. POIZON은 이러한 검수 및 감별 기준을 때때로 업데이트할 권리를 보유하며, 구체적인 규정은 POIZON 플랫폼에 표시된 규정을 따릅니다.
시계를 제외한 제품:
(1) 제품에 산화, 접착 불량, 균열, 얼룩, 흠집, 변색, 파손, 마모 등과 같은 명백한 품질 문제가 있음.
(2) 제품의 이름, 모델, 색상, 사이즈가 구매 주문과 일치하지 않음.
(3) 제품이 외박스(외부 포장) 및 액세서리와 일치하지 않음.
(4) 제품에 깔창, 박스 커버, 택을 포함하며 이에 국한되지 않는 액세서리가 없음.
(5) 제품에 명백한 사용 흔적이 있음.
(6) 제품이 명백히 위조품인 것으로 의심됨.
시계:
(1) 제품에 산화, 흠집, 얼룩, 파손, 마모, 액세서리 부족 등과 같은 명백한 품질 문제가 있음.
(2) 제품이 이름, 브랜드 시리즈, 포장, 모델, 색상 등의 측면에서 구매 주문 정보와 일치하지 않음.
(3) 제품이 외박스(외부 포장) 및 액세서리와 일치하지 않음,
(4) 제품에 시계 박스, 설명서, 태그 등을 포함하고 이에 국한되지 않는 액세서리가 누락되었거나 해당 액세서리가 완전하지 않음.
(5) 제품의 외부 포장이 손상되거나 심각하게 구겨지거나 찢겨지는 등의 이상이 있음.
(6) 제품이 기계식 시계인 경우 기능적 비정상, 오작동, 부정확한 시간 표시, 배터리가 없는 쿼츠 시계, 시계침이 동시에 움직이지 않는 등의 문제가 있음.
(7) 제품에 명백한 사용 흔적이 있음,
(8) 제품이 명백히 위조품인 것으로 의심됨,
(9) 해당 제품이 원래 공장 제조 공정 및 구성에서 상당히 벗어나는 것으로 보임.
8.2 제품의 품질을 보장하기 위해, POIZON은 제3자 검수 및 감별 서비스 제공업체에 제품의 포장 해체, 검수 및 감별을 위임할 수 있습니다. 검수 및 감별을 통과하면 해당 제품은 다시 포장되어 구매자에게 배송됩니다.
8.3 검수 및 감별 미통과 제품의 경우, 귀하는 운송업체를 통한 반송을 선택할 수 있습니다. POIZON은 해당 제품들을 먼저 반송할 의무가 없습니다. 귀하가 POIZON이 지정한 기간 내에 응답하지 않거나 관련 운송업체 요금을 지불하지 않는 경우, POIZON은 재량에 따라 해당 제품을 폐기할 권리를 보유합니다. 또한, POIZON은 위조 제품들을 파기하거나 관련 규제 당국으로 양도할 권리를 보유합니다.
8.4 귀하는 POIZON에 제공한 제품의 안전한 사용 기간에 대해 정보가 정확하고 사실이며 유효하고, 소비자의 관할 구역에서 제품 품질 및 안전과 관련된 모든 해당 규정을 준수함을 인정하고 보증합니다. 또한, 귀하는 해당 제품의 안전한 사용 기간 정보의 부정확성 또는 기타 제품 품질 및 안전 문제로 인해 발생하는 모든 법적 책임을 지는 데 동의합니다.
IX. 종료
9.1 종료 시나리오
[판매자의 종료 개시] 귀하는 다음 상황 중 어느 하나라도 발생하는 경우 본 계약을 종료할 권리가 있습니다.
(1) 귀하가 POIZON 플랫폼에 표시된 계정 탈퇴 조건을 충족하는 경우, 귀하는 POIZON 플랫폼에서 제공하는 셀프서비스 옵션을 통해 귀하의 계정을 탈퇴하여 본 계약을 종료할 수 있습니다.
(2) 변경 사항이 적용되기 전에, 귀하는 서비스의 사용을 중단하고 해당 변경 사항을 수락할 의사가 없음을 명시적으로 표시하여 본 계약을 종료할 수 있습니다.
(3) 귀하가 판매자 서비스를 계속 이용할 의사가 없음을 명시적으로 표시하고 POIZON 플랫폼에 명시한 종료 조건을 충족합니다.
([POIZON의 종료 개시] POIZON은 다음 상황에서 귀하에게 서면 또는 구두 통지를 통해 본 계약을 종료할 권리가 있습니다:
(1) 귀하가 본 계약, 이용 약관, 관련 정책 및 약관을 위반하는 경우, POIZON은 관련 조항에 따라 본 계약을 종료할 수 있습니다.
(2) 귀하가 타인의 계정을 무단으로 이용하거나, 금지된 컨텐츠를 게시하거나, 사기 행위를 하거나, 위조 제품을 판매하거나, 시장 질서를 어지럽히거나, 부적절한 수단으로 이윤을 추구하는 것과 같은 활동에 참여하는 경우, POIZON은 POIZON 플랫폼 규정에 따라 귀하의 계정을 정지하고 폐쇄할 수 있습니다.
(3) 앞서 언급한 상황 외에도, 귀하가 반복적으로 POIZON 플랫폼의 관련 규정을 위반하고 해당 상황이 심각한 경우, POIZON은 POIZON 플랫폼 규정에 따라 귀하의 계정을 정지하고 폐쇄할 수 있습니다.
(4) 귀하가 사기 행위, 위조/침해 제품의 게시 또는 판매, 타인의 적법한 권리 및 이익 침해, 기타 중대한 불법 또는 규정 위반 행위에 참여한 경우.
(5) 서비스의 종료가 정당화되는 기타 상황.
9.2 종료 후 사항
(1) 본 계약이 종료된 후에도 POIZON은 법률이 허용하는 범위 내에서 귀하가 POIZON 플랫폼에 저장한 모든 종류의 정보를 계속 보관할 권리를 보유합니다. POIZON은 본 계약의 약관에 따라 과거의 계약 위반 사항에 대해 계속 귀하를 추적할 수 있습니다.
(2) 본 계약 종료 후, 본 계약 기간 동안 생성된 구매 주문에 대해 POIZON은 구매자에게 이를 통지하고 구매자의 의사에 따라 해당 구매 주문의 종료 여부를 결정할 수 있도록 합니다. 구매자가 주문 이행을 요청하는 경우, 귀하는 본 계약의 약관과 구매 주문을 계속 이행해야 하며, 발생하는 모든 손해 또는 추가 비용을 부담해야 합니다.
X. 기타
10.1 준거법 및 관할권
본 계약은 국제 사법 규정 또는 원칙에 관계없이 싱가포르의 법률에 따라 규율되고 해석됩니다. 본 계약으로 인해 또는 본 계약과 관련하여 발생하는 모든 분쟁(그 존재, 유효성 또는 종료에 대한 모든 문제 포함)은 싱가포르 국제 중재 센터(“SIAC”)에 회부되어 현재 시행 중인 싱가포르 국제 중재 센터의 중재 규정(“SIAC 규정”)에 따라 최종적으로 해결되고, 이 규정은 본 조항에 참조로 통합된 것으로 간주됩니다. 중재 장소는 싱가포르입니다. 중재 위원회는 3명의 중재자로 구성됩니다. 중재 언어는 영어입니다. 본 중재 합의는 싱가포르 법률에 의해 규율됩니다.
각 당사자는 분쟁이 해결되는 동안(중재 포함) 본 계약에 따른 의무를 계속 이행하는 데 동의하며, 단, 분쟁 문제로 인해 의무 이행이 불가능하고 본 계약에 따라 어느 당사자의 종료 권리를 제한하지 않는 경우는 제외입니다.
10.2 분리 가능성 본 계약의 어떠한 조항이 폐지, 무효 또는 집행 불가능하게 되면, 해당 조항은 분리 가능한 것으로 간주되며 나머지 조항의 유효성과 집행 가능성에는 영향을 미치지 않습니다.
10.3 본 계약은 POIZON에 의해 규정되고 발표되었으며 이용 약관의 필수적인 부분입니다. POIZON은 본 계약을 조정하고 수정할 권리가 있으며, 효력이 발생하기 전에 관련 계약을 업데이트하거나 다른 수단을 통해 귀하에게 통지합니다. 귀하가 실질적인 변경 사항에 동의하지 않는 경우, 귀하는 변경 사항의 효력 발생일로부터 POIZON 플랫폼의 판매자 서비스 이용을 중단해야 하며, 변경 사항은 귀하에게 법적 구속력을 갖지 않게 됩니다. 그러지 않으면 귀하는 해당 변경 사항에 동의하는 것으로 간주됩니다.
10.4 본 계약서는 여러 언어로 번역될 수 있으며, 영어 번역과 번역 버전 사이에 차이 또는 불일치가 있는 경우에 모든 면에서 영어 버전이 우선하며 지배합니다.
10.5. 본 계약과 관련하여 질문, 불만사항, 피드백 또는 제안사항이 있는 경우, 주저없이 다음 연락 방법을 통해 당사와 소통해 주십시오. 당사는 매우 기쁘게 귀하께 도움을 드리고 귀하의 우려를 해결해 드릴 것입니다.
