本《卖家协议》（以下简称“本协议”） 由您（以下或称「卖家」）与POIZON GLOBAL Limited及POIZON HOLDING PTE. LTD.（以下简称：“「我们」或「POIZON平台」" ) 共同缔结。
This Seller Agreement (this “Agreement”) is made and entered into by and between you (the “Seller”) and POIZON GLOBAL Limited together with POIZON HOLDING PTE. LTD. (“We” or “POIZON Platform”).
本販売者契約（以下「契約」）は、お客様（以下「販売者」）と POIZON GLOBAL Limited および POIZON HOLDING PTE.LTD.（以下「当社」または「POIZONプラットフォーム」）との間で締結されます。
您在接受本协议之前，请您仔细阅读全部条款内容，特别是免除或限制责任的条款、法律适用和争议解决条款等用粗体标识的条款，您需要重点阅读。如您点击同意接受本协议即视为您同意受本协议约束入驻POIZON平台。如您对本协议的条款有疑问，请通过客服进行咨询，我们将向您解释条款内容。如您不同意本协议内容，请不要进行后续操作。如您继续操作，视为您同意本协议。本协议自您同意之日起生效。POIZON平台中的用户协议、费用或交易规则、隐私政策等相关约束卖家权利义务的条款和本协议具有同等法律效力。
You should carefully read all the terms and conditions of this Agreement (especially the clauses on exemption or limitation of liability, termination of this Agreement, liability for breach of contract, dispute resolution and other clauses in bold or capitalized) before clicking to agree to this Agreement. When you click to agree to this Agreement online, you are deemed to have agreed to be bound by this Agreement to be the seller on the POIZON Platform. In the case of any question about clauses hereof, please contact the customer service center for further explanation. If you do not agree of this Agreement, please do not proceed with further actions. If you continue to proceed, it will be deemed that you have agreed to this Agreement. This Agreement shall come into effect from the date you agree. The Term of Use, fees or transaction rules, privacy policies, and other terms that bind the rights and obligations of sellers within the POIZON Platform have the same legal effect as this Agreement.
お客様は、本契約への同意をクリックする前に、本契約のすべての条項（特に、免責または責任制限、本契約の終了、契約違反に対する責任、紛争解決、および太字または大文字で表示されているその他の条項）をよくお読みください。オンライン上で本契約への同意をクリックした時点で、お客様は、POIZON プラットフォーム上の販売者として本契約に拘束されることに同意したものとみなされます。本契約における条項についてご不明な点がございましたら、カスタマーサービスセンターまでお問い合わせください。本契約に同意いただけない場合は、以降の行為を続行しないでください。続行した場合、本契約に同意したものとみなされます。本契約は、お客様が同意した日から発効するものとします。利用規約、手数料または取引規則、プライバシーポリシー、およびPOIZON プラットフォーム内の販売者の権利および義務を拘束するその他の条項は、本契約と同等の法的効力を有するものとします。
您应确保您在本服务的使用及付款过程中,始终具备完全民事权利能力和完全民事行为能力,并确保您具有签订和履行本协议约定的权利义务之实际能力。如果您因年龄、智力等因素而不具有完全民事行为能力，请在法定监护人（"监护人"）的陪同下阅读并判断是否同意本协议。在该等情况下，您使用我们的服务应当获得您监护人的明示同意，否则，我们有权拒绝向您提供服务，由此产生的纠纷或损失由您或您的监护人承担。
You shall ensure that you always have full capacity for rights and conduct during the use of this Agreement and payment process. You must also possess the legal capacity to enter into and perform the rights and obligations stipulated in this Agreement. If you lack full capacity for conduct due to factors such as age or mental capacity, please read and assess your consent to this Agreement in the presence of your legal guardian (the "Guardian"). In such circumstances, your use of our services must obtain express consent from your Guardian; otherwise, we reserve the right to refuse to provide services to you. Any disputes or losses arising from this shall be borne by you or your Guardian.
お客様は、本契約の利用および支払処理において、常に権利および行為に関する完全な能力を有することを保証するものとします。また、お客様は、本契約に規定された権利および義務を締結し、履行する法的能力を有していなければなりません。年齢や精神的能力などの要因により、行為能力が十分でない場合は、法定後見人（以下、「後見人」）の立会いのもと、本規約を読み、同意の意思を確認してください。このような状況下で当社のサービスを利用するには、後見人の明示的な同意を得る必要があります。同意を得られない場合、当社はお客様へのサービス提供を拒否する権利を留保します。これにより生じるいかなる紛争または損失も、お客様またはお客様の後見人が負担するものとします。
一、 成为POIZON平台适格的卖家条件
I. Conditions for a Qualified Seller of POIZON Platform

1.1您注册POIZON平台进行商品转让或者出售，须持续满足以下条件：
1.1 To register as a qualified seller of POIZON Platform to transfer or sell products, you shall satisfy the following conditions:
1.1 POIZON プラットフォーム適格販売者として登録し、商品の譲渡または販売を行うには、以下の条件を満たす必要があります：
（1）年满18周岁且能独立承担本协议法律责任；
(1) You must be at least 18 years old and can independently assume the legal responsibilities hereunder;
(1) 18歳以上で、本契約に基づく法的責任を独立して負うことができる方。
（2） 同意并接受本协议及POIZON平台服务协议以及其他协议、规则等内容；
(2) You shall agree with and accept this Agreement, Terms of Use of POIZON Platform, other relevant agreements, rules, and terms;
(2) 本契約、POIZON プラットフォーム利用規約、その他関連する契約、規則、条件等に同意し、これを承諾するものとします。
（3） 出售的商品来源合法，符合相关法律法规且不侵犯任何第三方的合法权益。
(3) The products for sale are sourced legally, in compliance with relevant laws and regulations, and do not infringe upon the legitimate rights and interests of any third party;
(3) 販売する商品は、関連法規を遵守し、合法的に調達されたものであり、第三者の正当な権利や利益を侵害するものではありません。
（4） 提交相关个人信息用以完成个人身份实名制验证。
(4) Submission of certain personal information is required to complete individual identity authentication.
(4) 本人認証を完了するには、特定の個人情報の提出が必要です。
（5） 您和您的产品将遵守所有适用的法律、法规、规则、相关政府部门的要求和行业标准，包括但不限于美国外国资产控制办公室实施的出口管制和制裁法律。根据您的位置、物品的原产国和其他因素，美国和其他司法管辖区的其他法律法规可能适用。
(5) You and your products shall comply with all applicable laws, regulations, rules, requirements of relevant government authorities, and industry standards, including without limitation, applicable export control and sanctions program implemented by the US Office of Foreign Assets Control. Depending on your location, the country of origin of the items, and other factors, additional laws and regulations from the United States and other jurisdictions may apply.
(5) お客様およびお客様の商品は、適用されるすべての法律、規制、規則、関連する政府当局の要件、および米国外国資産管理局が実施する適用可能な輸出管理および制裁プログラムを含むがこれらに限定されない業界標準を遵守するものとします。お住まいの地域、商品の原産国、その他の要因によっては、米国およびその他の管轄区域の追加の法律および規則が適用される場合があります。

2.1 出价保证金。您同意按本协议及平台规则缴纳出价保证金（如有），保证金金额以POIZON平台展示的金额为准。您成为个人卖家且在支付保证金（如有）后，有权在POIZON平台出售商品。
2.1 Performance Bond for listing. You agree to pay the Performance Bond (if applicable) for listing in accordance with this Agreement and POIZON Platform’s rules, and the amount of the Performance Bond shall be based on the amount displayed on the POIZON Platform. After becoming an individual seller and paying the Performance Bond (if applicable), you have the right to sell products on the POIZON Platform.
2.1 出品のための履行保証金。お客様は、本契約および POIZON プラットフォームの規則に従い、出品にかかる履行保証金（該当する場合）を支払うことに同意するものとし、履行保証金の金額は、POIZON プラットフォームに表示される金額に基づくものとします。個人販売者になり、履行保証金（該当する場合）を支払うと、POIZON プラットフォームで商品を販売する権利が与えられます。
2.2平台服务费。您出售商品时需要向POIZON平台支付平台服务费，具体金额以POIZON平台的出价页面、卖家规则页面或其他页面展示为准。
2.2 Service Fees. You are required to pay a Service Fee to POIZON when selling commodities. The specific amount shall be subject to the display on the listing page, seller rules center page, or other relevant pages of the POIZON Platform.
2.2サービス料金。商品を販売する場合、POIZON にサービス料金を支払う必要があります。具体的な金額は、POIZON プラットフォームの出品ページ、販売者規則センターページ、その他関連するページに表示されるものとします。
如果您选择 POIZON 托管出价模式，POIZON 平台将不收取任何服务费，除非POIZON平台另有明确说明除外。
If you choose the POIZON Smart Listing model, no Service Fees will be charged unless explicitly stated otherwise by POIZON Platform.
POIZON スマートリスティングモデルを選択した場合、POIZON プラットフォームが別途明示しない限り、サービス料金は発生しません。
请注意，这里的「出价」是指卖家对其指定的可供售卖的商品进行定价，并公示在POIZON平台上，接受POIZON平台上买家的确认与支付的行为。
Please note that the term “listing” herein refers to the pricing set by the Seller for the specified product available for sale and publicly displayed on the POIZON Platform, subject to confirmation and payment by buyers on the POIZON Platform.
本規約における「出品」とは、POIZON プラットフォーム上で購入者による確認および支払いが行われることを条件として、POIZON プラットフォーム上で販売可能かつ公開されている特定の商品に対して、販売者が設定した価格を意味することにご注意ください。
2.3 账号使用。您应妥善保管登录POIZON平台的账号、密码等保密信息，当发生信息泄露或密码遗失时，您应立即向客服申请挂失。您登录账号后在POIZON平台中的一切操作均应符合法律法规、规章政策和法令的规定，还应符合本协议条款和相关规则的规定，上述您账户下的操作视为您的行为，由您承担全部责任。
2.3 Use of account. You should properly safeguard the confidential information such as account and password for logging into the POIZON platform. In the event of information leakage or password loss, you should immediately apply for loss reporting to the customer service. All operations on the POIZON Platform after you login to your account should comply with laws, regulations, rules, policies, and regulations, as well as the terms of this agreement and relevant rules. The operations under your account are deemed as your actions, and you shall bear all responsibilities.
2.3 アカウントの使用。お客様は、POIZON プラットフォームにログインするためのアカウントやパスワードなどの機密情報を適切に保護する必要があります。万一、情報漏洩やパスワード紛失が発生した場合は、速やかにカスタマーサービスに紛失届を提出してください。お客様がアカウントにログイン後、POIZON プラットフォーム上で行うすべての操作は、法律、規則、ルール、ポリシー、規制、および本契約の条件および関連規則に準拠する必要があります。お客様のアカウントでの操作はお客様の行為とみなされ、お客様はすべての責任を負うものとします。
2.4 信息提交。您应当向POIZON平台提供真实、合法、准确、有效的注册数据、第三方支付账户以及收货信息，并保证提供的内容的有效性及安全性，POIZON平台可以通过您预留的联系方式与您进行联系。同时，您也有义务在相关资料或信息实际变更时，及时更新有关资料或及时通知POIZON平台。
2.4 Submission of information. You shall provide POIZON Platform with authentic, legal, accurate and valid registration data, the third party payment account and shipping information, and ensure the validity and security of the provided information. POIZON Platform may contact you through the contact information you provided. Additionally, you are obligated to promptly update relevant information or notify the POIZON Platform in a timely manner in the event of actual changes to the data or information.
2.4 情報の提供。お客様は、POIZON プラットフォームに対して、真正、適法、正確かつ有効な登録データ、第三者の支払口座および配送情報を提供し、提供された情報の有効性および安全性を確保するものとします。POIZON プラットフォームは、お客様が提供した連絡先情報を通じてお客様に連絡する場合があります。また、お客様は、データまたは情報に実際に変更が生じた場合、速やかに関連情報を更新し、または適時に POIZON プラットフォームに通知する義務を負うものとします。
2.5禁止销售范围。您确保出售的商品属于合法来源，您有权对该等商品进行出售；同时，您确保您出售的商品不属于适用法律管辖地区所明确禁止售卖或限制销售的商品，而且您出售的商品不得损害任何第三方合法权益（包括但不限于知识产权），否则您将承担相应的法律及赔偿责任。您应当留存商品相关合法来源凭证，当POIZON平台或者相关政府部门要求提供时，您应当配合提供。
2.5 Scope of prohibited sales. You shall ensure that the products sold are from a legal source and you have the right to sell such products. You shall also ensure that the products you sell is not explicitly prohibited or restricted for sale in the applicable jurisdiction by law and that the sale of your products does not infringe upon any third-party legal rights (including but not limited to intellectual property rights). Failure to comply will result in your corresponding legal and compensation responsibilities. If you are required to retain legitimate documentation related to the source of the products and should cooperate in providing this documentation when requested by the POIZON Platform or relevant government authorities.
2.5 販売禁止の範囲。お客様は、販売する商品が合法的な供給元から入手したものであり、当該商品を販売する権利を有することを確認するものとします。また、お客様は、お客様が販売する商品が、適用される司法管轄区において、法律によって明示的に販売が禁止または制限されていないこと、およびお客様の商品の販売が第三者の法的権利（知的財産権を含むがこれに限定されない）を侵害していないことを保証するものとします。これに従わなかった場合、それに応じた法的責任および賠償責任が発生します。商品の出所に関する合法的な文書を保持する必要がある場合、および POIZON プラットフォームまたは関連する政府当局から要求された場合、この文書の提供に協力するものとします。
2.6 及时发货。您应当按照订单要求的商品、数量和时间及时、准确地进行发货。您因错发、漏发货的，因此产生的相关费用由您自行承担。如果您未按时完成发货或您发出的商品有任何瑕疵的，POIZON平台有权扣除您的保证金，也可视情节严重程度选择是否限制您的卖家权限。
2.6 Timely Delivery. You shall ensure that the products requested in the order, in the specified quantity and within the designated time frame, are promptly and accurately shipped. Any costs incurred due to mis-shipment or omission of products shall be borne by You. Failure to deliver on time or any defects in the products shipped by you may result in POIZON Platform deducting your Performance Bond and, depending on the severity of the situation, may restrict your rights as the Seller.
2.6 適時の納品。お客様は、注文で要求された商品を、指定された数量で、指定された期間内に、迅速かつ正確に出荷することを保証するものとします。商品の誤出荷または見落としにより発生した費用は、お客様の負担とします。納期に間に合わなかった場合、またはお客様が出荷した商品に欠陥があった場合、POIZON プラットフォームはお客様の履行保証金を差し引くことがあり、また、事態の深刻さによっては、販売者としてのお客様の権利を制限する可能性があります。
2.7交易秩序保障。您在使用服务进行交易的过程中应当遵守诚实信用的原则，确保您所发布的商品及/或服务信息真实、与您实际所销售的商品及/或提供的服务相符，并在交易过程中切实履行您的交易承诺。同时，您应维护互联网交易市场的良好秩序，不在交易过程中采取不正当竞争行为，不扰乱网上交易的正常秩序，不从事与网上交易无关的行为。
2.7 Transaction order Protection: During Your use of the service for transactions, you shall adhere to the principle of honesty and creditworthiness, ensuring that the information about the products and/or services you publish is true and consistent with the products and/or services you actually sell or provide. You shall fulfill your transaction commitments earnestly during the transaction process. Additionally, you are responsible for maintaining a good order in the online trading market, refraining from engaging in unfair competition during transactions, disrupting the normal order of online transactions, or engaging in activities unrelated to online transactions.
2.7 取引注文の保護：お客様が本サービスを利用して取引を行う場合、誠実さと信用度の原則を遵守し、お客様が公表する商品および/またはサービスに関する情報が真実であり、お客様が実際に販売または提供する商品および/またはサービスと一致していることを保証するものとします。お客様は取引中、取引義務を誠実に履行するものとします。さらに、オンライン取引市場における秩序を維持し、取引中に不正競争行為を行わないこと、オンライン取引の正常な秩序を乱すこと、オンライン取引に関係のない活動を行わないことについても責任を負います。
2.8不得隐瞒。您不得隐瞒任何可能对POIZON平台产生风险的事项，包括但不限于商品出现设计缺陷、质量瑕疵、权利纠纷、重大违约、上传数据包含病毒木马等，若发生此类影响平台商誉、正常交易、安全的事项的，POIZON平台有权解除本协议并追究相应责任。
2.8 No concealing. You shall not conceal matters that may bring risks to POIZON Platform, including but not limited to product design defects, quality flaws, rights disputes, material breaches of contract, or uploading data with Trojan virus, etc. In the event of such matters affecting the platform's reputation, normal transactions, or security, the POIZON Platform reserves the right to terminate this agreement and pursue corresponding liabilities.
2.8 隠蔽の禁止。お客様は、商品の設計上の欠陥、品質上の欠陥、権利紛争、重大な契約違反、トロイの木馬ウイルスを含むデータのアップロードなど、POIZON プラットフォームにリスクをもたらす可能性のある事項を隠蔽してはなりません。当該事項がプラットフォームの評判、正常な取引、またはセキュリティに影響を与えた場合、POIZON プラットフォームは本契約を解除し、対応する責任を追及する権利を留保します。
2.9按约履行。您知悉并同意，您在POIZON平台上确定待售商品并进行出价的行为，即表示您发出了一个具有约束力的要约行为，您同意将您指定的商品售卖给POIZON平台上的买家。如果POIZON平台上有买家，通过平台的服务，愿意按照您的出价购买该指定商品，并接受您的报价，那么您与买家的买卖合同成立，您需要按照法律的规定，以约定的价格向买家交付该指定商品。您在POIZON 平台进行出售的行为是您的本人的真实意思表示，您应对您的行为承担相应的法律责任，您出售的商品一经拍下，您即无权以任何理由取消该笔订单。
2.9 Due performance. You are aware and agree that, by confirming to list for sales of the product on POIZON Platform, you send a binding offer and consent to sell the specified products to buyers on the POIZON Platform. If a buyer on the POIZON Platform, through the platform’s services, is willing to purchase the specified products at your listing price and accepts your offer, a contract of sale is formed between you and the buyer, and you are obligated to deliver the specified products to the buyer at the agreed price in accordance with the law. Your actions of selling on the POIZON Platform represent your genuine intention, and you are legally responsible for your actions. Once the products are sold, you have no right to cancel the transaction for any reason.
2.9 正当な履行。お客様は、POIZON プラットフォームへの商品の出品を確認することにより、POIZON プラットフォーム上の購入者に対して、指定された商品を販売する拘束力のある申し出および同意を送信することを認識し、同意するものとします。POIZON プラットフォーム上の購入者が、プラットフォームのサービスを通じて、お客様の出品価格で指定商品を購入する意思があり、お客様の申し出を受け入れた場合、お客様と購入者の間に売買契約が成立し、お客様は法律に従い、合意した価格で指定商品を購入者に引き渡す義務を負います。POIZON プラットフォームでの販売行為はお客様の真摯な意図を表すものであり、お客様はその行為に対して法的責任を負います。商品が販売された後は、理由の如何を問わず、取引をキャンセルする権利を有しません。
2.10依法缴税。您应当按照适用法律管辖地区有关的税法及其他相关法律法规，及时、足额地向当地税务部门申报纳税和缴纳税额，若您未足额缴纳税款导致POIZON平台遭受任何损失的，POIZON平台有权限制您的卖家权限并冻结您的货款。
2.10 Payment of taxes according to applicable law. You are required to comply with the relevant tax laws and other applicable regulations in your jurisdiction, and to promptly and fully declare and pay taxes to the local tax authorities. If your failure to fully pay taxes results in any losses to the POIZON Platform, we have the right to restrict your rights as the Seller and freeze your funds.
2.10 適用法に基づく税金の支払い。お客様は、管轄地域における関連税法およびその他の適用規則を遵守し、現地の税務当局に迅速かつ完全に申告し納税する必要があります。お客様が税金を完全に支払わなかったことにより POIZON プラットフォームに損失が発生した場合、当社は販売者としてのお客様の権利を制限し、お客様の資金を凍結する権利を有します。
2.11 消费者保障。您了解并同意，您作为消费者保障的责任主体，应当遵照适用法律管辖地区有关的法律法规、特别是适用法律管辖地区关于商品销售的规定、消费者保护的规定及《用户服务协议》的规则履行消费者保障的各项义务，包括基础消费者保障服务，如商品如实描述、缴纳保证金等，具体以对应的法律规定及关联服务协议与规则约定为准。
2.11 Consumer protection. You understand and agree that, as the responsible party for consumer protection, you are obligated to comply with the relevant laws and regulations in your jurisdiction, particularly those concerning the sale of products, consumer protection regulations, and the rules specified in the Terms of Use, to fulfill the various obligations of consumer protection. Such obligations include but are not limited to truthful description of products and payment of Performance Bond, which shall be subject to the corresponding laws, affiliated Service Agreements and rules.
2.11 消費者保護。お客様は、消費者保護の責任者として、消費者保護の諸義務を果たすために、お客様の管轄区域における関連法規、特に商品の販売に関する法規、消費者保護法、および本利用規約に規定された規則を遵守する義務があることを理解し、これに同意するものとします。かかる義務には、商品の真実の説明や履行保証金の支払いが含まれますが、これらに限定されるものではなく、関連する法律、関連するサービス契約および規則に従うものとします。
2.12 制裁规定。您必须遵守适用于您的交易的任何制裁合规要求，包括适用于POIZON平台、卖家或任何买方的任何法律的任何更新，并且必须赔偿POIZON平台因您违反任何制裁法律而产生的任何经济损失。
2.12 Sanctions. You must comply with any sanctions compliance requirements that apply to your transactions, including any updates to any laws that apply to POIZON Platform, any Seller or Buyer and must indemnify POIZON Platform against any claim resulting from any breach by you of any sanctions law.
2.12 制裁。お客様は、POIZON プラットフォーム、販売者または購入者に適用される法律の更新を含め、お客様の取引に適用される制裁に関する法令の遵守要件を遵守しなければならず、お客様による制裁に関する法令違反に起因する請求から POIZON プラットフォームを補償しなければなりません。

3.1因网上交易平台的特殊性，POIZON平台以普通非专业人员的知识水平标准对相关内容进行判别，判断认为这些内容或行为具有违法或不当性质的，发现注册数据或交易行为中存在任何问题或怀疑，均有权向您发送询问或要求改正的通知，并根据不同情况对您采取限制性措施或停止对您提供服务，您同意由于排版错误或信息错误导致商品以不正确或明显不合理的价格或信息显示的，POIZON平台有权取消该等不正确或明显不合理价格或信息的商品订单的权利。并保留就您的行为给POIZON平台及其他权利人造成的损失进行追偿的权利。
3.1 Due to the unique nature of online trading platforms, POIZON Platform assesses relevant content based on the standard of ordinary non-professionals. If it is determined that such content or behavior is illegal or improper, or if any issues or suspicions are found in your registration data or transaction behavior, POIZON Platform reserves the right to send you inquiries or requests for correction. Depending on the circumstances, restrictive measures may be taken against you or services may be suspended. You agree that in the event of formatting errors or information inaccuracies leading to incorrect or significantly unreasonable prices or information displayed for products, we have the right to cancel orders for such products with incorrect or significantly unreasonable prices or information. Furthermore, we reserve the right to seek compensation for any losses incurred as a result of your actions, either to POIZON platform or other rights holders.
3.1 オンライン取引プラットフォームに特有の性質により、POIZON プラットフォームは専門家でない一般人の基準に基づいて関連コンテンツを評価します。 かかるコンテンツや行為が違法または不適切であると判断された場合、またはお客様の登録データや取引行為に問題や疑念が見つかった場合、POIZON プラットフォームはお客様に対して問い合わせや是正要求を行う権利を留保します。状況によっては、制限措置をとる、またはサービスを停止する場合があります。お客様は、フォーマットエラーまたは情報の誤りにより、商品に表示された価格または情報が不正確または著しく不当な場合、当社は、不正確または著しく不当な価格または情報を含む商品の注文をキャンセルする権利を有することに同意するものとします。さらに、当社は、お客様の行為により生じた損害について、POIZON プラットフォームまたはその他の権利者に賠償を求める権利を留保します。
3.2您同意在因为商品交易导致您和第三方发生纠纷时，授权POIZON平台向相对人及或政府相关部门披露您的个人卖家信息及相关订单信息。
3.2 You agree to authorize POIZON Platform to disclose your information as the Seller and the relevant Purchase Order information to the counterpart and/or the relevant government departments in the case of any dispute arising between you and third parties caused by the transaction.
3.2 お客様は、取引に起因してお客様と第三者との間で紛争が生じた場合、POIZON プラットフォームが販売者としてお客様の情報および関連する発注書情報を相手方および/または関連する政府機関に開示することを許可することに同意するものとします。
3.3如您违反卖家义务及POIZON平台相关协议及规则的，POIZON平台有权采取包括但不限于暂停部分或全部服务、关闭交易订单、封号、禁售、冻结资金、扣除保证金等措施，并保留采取进一步法律措施的权利。
3.3 If you violate the Seller's obligations and the relevant agreements and rules of the POIZON Platform, POIZON Platform has the right to take actions including but not limited to suspending some or all services, cancelling Purchase Orders, account suspension, sales restrictions, fund freezing, and deduction of Performance Bond, and reserves the right to take further legal actions.
3.3 お客様が、販売者の義務および POIZON プラットフォームの関連する契約および規則に違反した場合、POIZON プラットフォームは、一部またはすべてのサービスの停止、発注の取り消し、アカウント停止、販売制限、資金凍結、履行保証金の控除を含む（ただし必ずしもこれらに限定されない）措置を取る権利を有し、さらに法的措置を取る権利を留保します。
3.4 POIZON平台有权基于为您提供的服务向您收取平台服务费，也可能根据业务调整而变更向您提供服务的主体，变更后的主体履行本协议项下义务向您提供服务，前述变更不会影响您在本协议项下权益。发生争议时，您可根据具体使用的服务及对您权益产生影响的对象确认争议主体。
3.4 POIZON Platform is entitled to charge you the Service Fees based on the services provided to you, or change entity providing services to you based on business adjustment. The new entity will serve you in accordance with the provisions hereof, and such change will not affect your rights and interests hereunder. In the event of a dispute, you may confirm the subject of the dispute based on the specific services used and the party affecting your rights.
3.4 POIZON プラットフォームは、お客様に提供するサービスに基づき、サービス料金をお客様に請求する、または業務調整に基づき、お客様にサービスを提供する事業者を変更する権利を有します。新しい事業者は、本契約の条項に従ってお客様にサービスを提供し、かかる変更は本契約に基づくお客様の権利および利益に影響を及ぼしません。紛争が発生した場合、お客様は、利用した特定のサービスおよびお客様の権利に影響を及ぼす当事者に基づいて、紛争の対象を確認することができます。
3.5 为更好的提供平台服务，您理解并同意POIZON平台有权委托其关联方或其他代理人履行本协议项下的义务，POIZON平台将确保前述关联方或代理人根据本协议条款以及您的商品销售地政策法规履行我们在本协议项下的义务，但该等情形不会影响本协议的效力，以及卖家与POIZON平台依据本协议所享有的权利和承担的义务、责任。
3.5 For the better provision of platform services, you understand and agree that the POIZON Platform is entitled to authorize their affiliates or other agents to fulfill its obligations under this Agreement. The POIZON Platform will ensure that such affiliates or agents fulfill our obligations under this Agreement and comply with policies and regulations of the areas that your products are sold to. Such arrangement will not affect the validity and effectiveness of this Agreement or the rights, obligations, and responsibilities of the Seller and the POIZON Platform under this Agreement.
3.5 プラットフォームサービスをより良く提供するために、お客様は、POIZON プラットフォームが本契約に基づく義務を履行するために、その関連会社またはその他の代理人を承認する権利を有することを理解し、同意するものとします。POIZON プラットフォームは、かかる関連会社または代理人が本契約に基づく義務を履行し、お客様の商品が販売される地域の政策および規制を遵守することを保証します。かかる取り決めは、本契約の有効性および効力、または本契約に基づく販売者および POIZON プラットフォームの権利、義務および責任に影響を及ぼさないものとします。
3.6 您同意，若POIZON平台已经向您结算完毕您的销售货款，但您出售的商品出现退货且POIZON平台或其指定的主体已经向买家完成了赔付的情况下，POIZON平台指定的主体有权获得您出售的商品的所有权。
3.6 You agree that if the POIZON Platform has settled your sales proceeds to you, but the products you sold are subject to returns and POIZON Platform or its designated entity has already provided compensation to the buyer, POIZON Platform’s designated entity reserves the right to claim ownership of the products sold by you.

You shall pay POIZON Platform the Service Fees for the transaction of your products. The specific type and amount shall be subject to those displayed on the product listing page, seller rules page or other pages on the POIZON Platform. POIZON Platform is entitled to adjust the Service Fees in its sole discretion from time to time.
お客様は、商品の取引にかかるサービス料金を POIZON プラットフォームに支払うものとします。具体的な種類および金額は、POIZON プラットフォームの商品掲載ページ、販売者規則ページまたはその他のページに表示される内容に従うものとします。POIZON プラットフォームは、独自の判断により、サービス料金を随時調整する権利を有します。
本协议项下，POIZON HOLDING PTE. LTD.负责向您提供POIZON平台的服务账户申请审核、网络空间、技术支持、系统维护、商品配送等服务，收取技术服务费、操作服务费和其他费用项（如有）；POIZON GLOBAL Limited负责向您提供POIZON平台的商家结算技术服务，收取技术服务费。本协议应自接受日期起替代您与POIZON HOLDING PTE. LTD. 及POIZON GLOBAL Limited之前签署的《卖家协议》（“早期协议”）。您知晓并同意，前述两个主体的职能分工和收费模式自早期协议生效之日起算。
Under this Agreement, POIZON HOLDING PTE. LTD. is responsible for providing services such as the review of your service account application, network space, technical support, system maintenance, and product delivery, etc. POIZON HOLDING PTE. LTD. shall charge Seller Fees, OperationService Fees, and other applicable fees (if any). POIZON GLOBAL Limited is responsible for providing seller settlement technology services on the platform and shall charge Seller Fees. This agreement shall replace the Seller Agreement previously signed between you, POIZON HOLDING PTE. LTD. and POIZON GLOBAL Limited (the “Previous Agreement”). You are aware and agree that, the scope of services and the corresponding charge model between the aforementioned entities shall be effective from the effective date of the Previous Agreement.

(1) You are required to bear the transportation costs of the products, including but not limited to international shipping fees, all customs duties, taxes, and any other related charges for the delivery of products to the POIZON Platform designated receiving address,.

（2）您已经支付的平台服务费已经包括第三方商品查验鉴别服务费。但是，请注意，由于您的自身原因（包括但不限于商品查验鉴别不通过、商品质量问题等）导致交易订单取消/关闭以及其他情况，从而致使我们需要将商品回寄给您，则您需要承担商品查验鉴别服务费、包装服务费等及退货产生的快递物流等成本费用，POIZON平台有权直接从您的保证金或待结算款项中直接扣除相应费用。
(2) The Service Fees you have already paid includes third-party product inspection and authentication service fees. However, please note that if, due to your own reasons (including but not limited to failed product inspection and authentication, product quality issues, etc.), a transaction order is canceled/terminated or other situations arise that require us to return the product to you, you will be responsible for the costs incurred, including product inspection and authentication service fees, packaging service fees, as well as courier logistics costs for returns. POIZON Platform reserves the right to deduct the corresponding fees directly from your Performance Bond or pending settlement funds.
(2) お客様が既に支払ったサービス料金には、第三者による検査および認証サービス料金が含まれます。ただし、お客様の都合（商品の検査および認証の不合格、商品の品質上の問題等を含むがこれらに限定されない）により、取引注文がキャンセル/終了となった場合、またはその他の事情により商品を返品する必要が生じた場合、商品の検査および認証サービス料金、梱包サービス料金、返品にかかる宅配物流費等の費用はお客様の負担となりますので、ご了承ください。POIZON プラットフォームは、お客様の履行保証金または未決済の決済資金から対応する料金を直接差し引く権利を留保します。
您理解并同意，POIZON平台或第三方物流快递公司可能会调整该费用标准，请以我们和第三方物流快递公司的公告/更新的规则为准。
You understand and agree that the Service Fees may be adjusted by POIZON Platform or the third party express/ logistics company. Please refer to the updated rules of us and the third party express/ logistics company.

Solely for the purpose of facilitating transactions on the POIZON Platform, you hereby authorize POIZON GLOBAL Limited (as one of the Joint Platform Operators) and/or our entrusted affiliates or agents in the relevant jurisdictions (collectively, the “Payment Collection Agent”) to collect, hold, and settle the proceeds from the sale of products and/or any other related amounts on your behalf in accordance with this Agreement. You acknowledge and agree that POIZON GLOBAL Limited (as one of the Joint Platform Operators Payment Collection Agent provides the aforementioned transaction payment processing services as an ancillary and value-added service of the POIZON Platform.
お客様は、POIZON プラットフォームでの取引を円滑にすることを唯一の目的として、POIZON GLOBAL Limited（共同プラットフォーム運営者の 1 社として）および/または関連法域における当社の委託を受けた関連会社または代行業者（以下、総称して「代金回収代行業者」という）に対し、本契約に従って、お客様に代わって商品の販売代金および/またはその他の関連金額を回収、保有、決済する権限を与えます。お客様は、POIZON GLOBAL Limited（共同プラットフォーム運営者代金回収代行業者の 1 社として）が、POIZON プラットフォームの付帯サービスおよび付加価値サービスとして、前述の取引決済処理サービスを提供することを了承し、これに同意するものとします。
您知晓并同意，如果商品销售地在美国，收款代理人将为POIZON GLOBAL Limited及我们的关联公司POIZON INC，一家成立于美国加利福尼亚州的有限责任公司。
You acknowledge and agree that if the location of sale of products is in the United States, the Payment Collection Agents are POIZON GLOBAL Limited and our affiliate, POIZON INC, a company established in California, United States.
お客様は、商品の販売地が米国の場合、代金回収代行業者は POIZON GLOBAL Limited および当社の関連会社である POIZON INC（米国カリフォルニア州に設立された会社）であることを承認し、これに同意するものとします。

在您遵守本协议及POIZON平台所有相关规则的前提下：
(a) 收取买家资金: 当买家在POIZON平台上购买您的商品时，收款代理人将代表您向买家收取该商品对价(“交易价款”)。您可在次日通过POIZON卖家中心-账单管理中查询您的在指定日期收取的交易价款金额;
(b) 扣除税费和其他费用: 成功收取卖家交易货款后，收款代理人将从交易价款中扣除(i) 根据相关法律需由收款代理人或POIZON平台代扣代缴的任何税费(ii) 您需向我们支付的服务费及其他相关款项（如违约金、赔偿金等）；和
(c) 向卖家结算款项: 收款代理人将在商品检验后5个工作日内将剩余款项结算给卖家。如果发生（i）您向我们提供的收款账户存在任何错误信息，（ii）银行系统更新或升级，或（iii）不可抗力等情形，结算时间将将根据前述情况得到有效解决后相应顺延。
Subject to your compliance with the terms of this Agreement and all relevant rules of the POIZON Platform:
(a) collect fund from buyers: upon a buyer purchasing your products on the POIZON Platform, the Payment Collection Agent shall collect the consideration for such transaction (“Purchase Price”) from the buyer on your behalf. You may check the Purchase Price received by the Payment Collection Agent on your behalf on any specific day through the POIZON Seller Center - Bill Management Center on the following day;
(b) deduct tax and charges: Upon successful collection of the seller's transaction proceeds, the Payment Collection Agent will deduct (i) any taxes required to be withheld or paid by the Payment Collection Agent or POIZON Platform under relevant laws, and (ii) Service Fees and other related amounts payable by you (such as liquidated damages, compensation, etc.) from the Transaction Price.
(c) Settlement of Funds to Seller: The Payment Collection Agent will settle the remaining amount to the seller within five(5) working days after the inspection and authentication of the products. If there are any discrepancies in the payment account information provided by you, updates or upgrades to bank systems, or events of force majeure, etc, the settlement time will be extended accordingly after the aforementioned issues are effectively resolved.

(a) 購入者から代金を回収する：購入者が POIZON プラットフォーム上でお客様の商品を購入した場合、代金回収代行業者はお客様に代わって購入者から当該取引の対価（以下「購入価格」という）を回収するものとします。お客様は、POIZON 販売者センター - 請求書管理センターを通じて、特定の日に代金回収代行業者がお客様に代わって受領した購入代金を翌日に確認することができます。
(b) 税金および手数料の控除：販売者の取引代金の回収に成功した場合、代金回収代行業者は、(i) 関連法令に基づき、代金回収代行業者または POIZON プラットフォームが差し引くまたは支払う必要がある税金、および (ii) サービス料金およびその他お客様が支払うべき関連金額（約定損害賠償金、補償金等）を取引代金から控除します。
(c) 販売者への資金決済：代金回収代行業者は、商品の検査および認証後、5営業日以内に販売者に残金の決済を行います。お客様から提供された支払口座情報に不一致がある場合、銀行システムの更新やアップグレード、不可抗力の事象などが発生した場合、前述の問題が効果的に解決された後、決済時間は適宜延長されます。
5.3 收款代理人收到交易价款的效力

您同意并理解，收款代理人代表您收到的付款视为买家已完成向您付款的义务，无论收款代理人是否向您结算此类付款。如果收款代理人未按照本协议规定向您支付任何此类付款，您只能向收款代理人追索，而不能向买家追索。
You agree and understand that a payment received by the Payment Collection Agent on your behalf shall be deemed as completion of the buyer's obligation to make payment to you, regardless of whether the Payment Collection Agent settles such payment with you or not. If the Payment Collection Agent fails to make any such payment to you as described in this Agreement, your recourse is only against the Payment Collection Agent and not against the buyer.
お客様は、代金回収代行業者がお客様に代わって受領した代金は、代金回収代行業者がお客様との間でかかる支払いを決済するか否かにかかわらず、購入者がお客様に対して支払いを行う義務が完了したものとみなされることに同意し、了承しています。代金回収代行業者が本契約に記載されている通り、お客様に対してかかる支払いを行わなかった場合、お客様の請求権は代金回収代行業者に対してのみ存在し、購入者に対しては存在しません。
5.4您对待结算款项不享有收益

您无权获得收款代理人代您持有货款及／或其他相关款项时所产生的利息或其他收入。
You are not entitled to any interest or other income generated from the funds or any other related amounts held by the Payment Collection Agent on your behalf.

5.5 Other rights and obligations of the Payment Collection Agent

收款代理人可能会遵照任何政府或司法命令，扣押或征收应支付给您的款项，并且在按照法院命令将任何该等款项支付给政府机构或法院命令要求的第三方之后，即不再负有向您支付该等款项的义务。
The Payment Collection Agent may comply with any government or judicial order to withhold or levy any amount payable to you, and after paying any such amount to a government agency or third party in accordance with a court order, the Payment Collection Agent will no longer be obligated to pay you such amounts.
代金回収代行業者は、政府または司法命令に従い、お客様に支払うべき金額を差し引くまたは取り立てることができ、裁判所命令に従って政府機関または第三者にかかる金額を支払った後、代金回収代行業者はかかる金額をお客様に支払う義務はなくなります。
收款代理人保留随时辞去代理身份的权利。
The Payment Collection Agent reserves the right to cease providing any part of its transaction payment processing services at any time.
代金回収代行業者は、取引決済処理サービスの一部の提供をいつでも中止する権利を留保します。
收款代理人不对卖家的任何作为或不作为（包括但不限于卖家违反本协议或任何适用法律的任何行为）承担任何责任。
The Payment Collection Agent shall not be liable for any act or omission of the Seller (including but not limited to the seller's violation of this Agreement or any applicable laws).

You agree that we will send transaction progress information to the buyer to verify whether the buyer’s payment to the Payment Collection Agent fulfills the buyer's payment obligation for the Purchase Order.
お客様は、購入者の代金回収代行業者への支払いが、発注に対する購入者の支払い義務を果たすかどうかを確認するために、当社が購入者に取引進捗情報を送信することに同意するものとします。

6.1您同意按本协议及POIZON平台规则进行保证金预授权/退还保证金，保证金将用于约束您的履约行为。
6.1 You agree to pre-authorize/refund the Performance bond according to the provisions herein and rules of POIZON Platform. The Performance bond will be used to guarantee your performance of contract.

(1) POIZON Platform may collect a Performance Bond from you when you list to guarantee your transaction performance. The methods of collecting the Performance Bond include but are not limited to obtaining a pre-authorization on your credit card linked to your third-party payment account as Performance Bond (in USD).
(1) POIZON プラットフォームは、取引履行を保証するため、出品時にお客様から履行保証金を回収する場合があります。履行保証金の回収方法には、履行保証金（米ドル）として、お客様の第三者支払口座にリンクされたクレジットカードで事前承認を得る方法が含まれますが、これに限定されません。
(2）若您不足额进行保证金预授权的，将无法进行出价、出售商品。当您的商品按时发货并通过我们查验鉴别后，且您没有存在任何违法行为或没有违反平台规则的前提下，您的保证金将被解除冻结。
(2) If you fail to provide a sufficient pre-authorization for the Performance Bond, you will be unable to list or sell products. Upon timely delivery of your products and inspection and authentication by us, and provided that you have not engaged in any illegal activities or violated platform rules, your Performance Bond will be released from freeze.
(2) 履行保証金に十分な事前承認を提供できない場合、商品の掲載または販売ができなくなります。商品を適時に納品し、当社による検査と認証が行われ、違法行為やプラットフォーム規則違反がなければ、履行保証金の凍結は解除されます。
（3）当因卖家原因导致订单交易关闭或寄售商品取回或退回产生退货运费，POIZON平台将向卖家已绑定的信用卡发起运费或违约相关的扣款。如因信用卡额度不足等原因导致扣款失败的，则相应地会生成欠款，POIZON平台有权依法追究您的违约责任。卖家有欠款的状态下将无法正常出价，因此请保证您的信用卡额度充足。
(3) If the Purchase Order is cancelled due to the Seller's reasons, or if transportation expenses are incurred for retrieving or returning consigned items, we will initiate deductions related to the transportation expenses and/or breach from the Seller's linked credit card. In the event of a failed deduction due to insufficient credit card limit or similar reasons, corresponding debts will be generated, and the POIZON Platform reserves the right to legally pursue your liability of the breach of contract. Sellers with outstanding debts will be unable to list normally, so please ensure that your credit card limit is sufficient.
(3) 販売者の都合により発注がキャンセルされた場合、または委託品の回収や返品のために輸送費が発生した場合、当社は、販売者のリンクされたクレジットカードから輸送費および/または違反に関連する控除を開始します。クレジットカードの限度額不足または同様の理由で引き落としが行われなかった場合、対応する債務が発生し、POIZON プラットフォームは契約違反の責任を法的に追及する権利を留保します。未払いの債務がある販売者は、通常の出品ができなくなりますので、クレジットカードの限度額が十分であることをご確認ください。
6.3您若有以下情况之一的，POIZON平台有权全额扣除保证金，且保留停止向您提供服务的权利：
6.3 In any following cases, POIZON Platform is entitled to deduct all the Performance Bond and reserves the right to stop providing services to you:

(1) 如您违反法律、法规、政策及本协议、平台规则或违反其他您做出的承诺致我们受损的，POIZON平台有完全的权利基于您的违约行为全额扣划您的保证金。
(1) If you violate laws, regulations, policies, this agreement, platform rules, or any other commitments you have made that result in damage to us, POIZON Platform reserves the right to deduct your Performance Bond in its entirety based on your breach of contract.
(1) お客様が法令、規約、ポリシー、本契約、プラットフォーム規則、その他のお客様による約束に違反し、当社に損害を与えた場合、POIZON プラットフォームはお客様の契約違反に基づき、履行保証金の全額を差し引く権利を留保します。
(2) 如您在交易过程中未按照发货时效发货或虚假发货的，或者寄出的商品不符合您在POIZON平台出售的款式、尺码、配色等要求的， POIZON平台可直接从保证金中划扣已冻结的保证金的全部金额作为违约金。
(2) If you fail to deliver the products within the specified time frame or provide false delivery information during the transaction, or if the items shipped do not meet the requirements in terms of style, size, color, etc., as listed on POIZON Platform, POIZON Platform has the right to directly deduct the entire frozen Performance Bond as the liquidated damage.
(2) お客様が指定された期間内に商品を納品しなかった場合、または取引中に虚偽の納品情報を提供した場合、または出荷された商品が POIZON プラットフォームに掲載されたスタイル、サイズ、色などの要件を満たしていない場合、POIZON プラットフォームは凍結された履行保証金の全額を約定損害賠償金として直接差し引く権利を有します。
（3）如您提供的商品不符合我们要求或查验鉴别不通过，POIZON平台可直接从保证金中划扣已冻结的保证金的全部金额。
(3) If the product you provide does not meet the requirements of us or fails to pass the inspection or authentication, POIZON Platform can directly deduct the entire frozen Performance Bond.
(3) お客様が提供した商品が当社の要求を満たさない場合、または検査または認証に合格しない場合、POIZON プラットフォームは凍結された履行保証金の全額を直接差し引くことができます。
（4）如您违反本协议及平台规则或者存在其他违法、侵害我们合法权益的行为的，没有在POIZON平台要求的合理期限内改正或无法改正的，POIZON平台有权从保证金中划扣已冻结的保证金的全部金额作为违约金。
(4) If you violate this Agreement, POIZON Platform’s rules, or commit other illegal acts or infringe upon the legitimate rights and interests of us, and fail to make rectification within the reasonable period required by POIZON Platform, POIZON Platform is entitled to deduct the entire frozen Performance Bond from the Performance Bond account as the liquidated damage.
(4) お客様が本契約、POIZON プラットフォームの規則に違反した、その他違法行為を行った、または当社の正当な権利および利益を侵害し、POIZON プラットフォームが要求する合理的な期間内に是正を行わない場合、POIZON プラットフォームは、約定損害賠償金として、凍結された履行保証金の全額を履行保証金口座から差し引く権利を有します。
（5）若您的保证金未扣除成功，则POIZON平台保留继续向您追讨保证金的权利。

(1) You may voluntarily choose to use the shipping services provided by the logistics and express companies cooperating with POIZON Platform, and acknowledge that there is a certain compensation limit for any damage to products involved in the services. Please refer to the POIZON Platform rules for specific service rates, compensation limits, and claims procedures.
(1) お客様は、POIZON プラットフォームと提携する物流会社および運送会社が提供する配送サービスを利用することを任意に選択することができるものとし、当該サービスに伴う商品の損害については、一定の補償限度額があることを了承するものとします。特定のサービス料金、補償限度額、請求手続きについては、POIZON プラットフォーム規則を参照してください。
（2）若商品入库、配送过程中因您的原因（商品错发、多发或配送信息填错等）导致发生异常，并且您未在POIZON平台或第三方物流快递公司通知之日起14个自然日内消除异常事由且给出处理意见的，我们将有权对商品进行销毁等处理方式。您知晓并承诺因此导致的费用我们有权向您追索。具体内容参见平台页面展示规则。
(2) If abnormalities occur during the warehousing and delivery process due to your own reasons (such as incorrect delivery of products, over-delivery, or incorrect delivery information), and you fail to cure the abnormalities and provide a solution within 14 days from the date of notification by POIZON Platform or third-party logistics and express companies, we shall have the right to dispose of the products, including destruction. You understand and undertake that we have the right to recover expenses incurred as a result. Please refer to the POIZON Platform rules for specific terms.
(2) 当社は、お客様の都合（商品の誤配送、過剰配送、配送情報の誤りなど）により倉庫保管および配送プロセス中に異常が発生し、お客様が POIZON プラットフォームまたは第三者である物流および配送業者からの通知を受けた日から 14 日以内に異常の是正および解決策を提示しない場合、当社は破壊を含む商品を処分する権利を有するものとします。お客様は、当社が結果として発生した費用を回収する権利を有することを理解し、これを引き受けるものとします。特定の条件については、POIZON プラットフォーム規則を参照してください。

8.1 You shall examine and verify the good before delivering it to POIZON Platform for inspection and authentication to ensure that the good does not have the following problems. POIZON Platform will inspect and authenticate your product as per the following inspection and authentication standards. POIZON Platform reserves the right to revise the inspection and authentication standards outlined in Section 8.1 from time to time. The specific regulations and rules shall be determined by the guidelines displayed on the POIZON Platform:

（5）商品存在外包装破损、严重折痕及撕裂等情形；

（6）商品存在功能调试异常、失灵、机械表走时不准、石英表没电、指针不联动等功能问题；
(6) The product has functional abnormalities, malfunctions, inaccurate timekeeping for mechanical watches, quartz watches with no battery power, and issues with hands not moving in sync, etc.,
(6) 機能異常、故障、機械式時計の不正確な計時、クォーツ時計の電池切れ、針が同期して動かないなどの問題がある。
（7）商品存在明显使用过的痕迹；

8.2为确保商品的质量，POIZON平台可能会委托第三方查验鉴别服务商对商品进行拆封查验鉴别，查验鉴别通过后的商品将会重新包装后向买家进行发货。
8.2 To ensure the quality of product, POIZON Platform may entrust a third-party inspection and authentication services provider to unpack, inspect and authenticate the product. Once the inspection and authentication are passed, the product will be repackaged and shipped to the buyer.
8.2 POIZON プラットフォームは、商品の品質を確保するため、第三者の検査認証サービスプロバイダーに商品の開梱、検査および認証を委託する場合があります。検査および認証に合格すると、商品は再梱包され、購入者に発送されます。
8.3 如您的商品最终被POIZON平台判定查验鉴别不通过的，POIZON平台有权关闭交易订单，扣除您的保证金，并将商品通过寄付的方式退还您，所发生的快递运费及其他可能涉及海关的清关费、税费及其他费用，我们有权向您追偿。
8.3 If your product fails to pass the inspection and authentication, POIZON Platform is entitled to cancell the Purchase Order, deduct your performance bond, and return the product to you at your expense. We also have the right to recover from you the incurred express delivery charges, customs clearance fees, taxes, and other expenses that may be involved.
8.3 お客様の商品が検査および認証に合格しなかった場合、POIZON プラットフォームは発注を取り消し、履行保証金を差し引き、お客様の費用負担で商品をお客様に返却する権利を有します。また、当社は、発生した速達料金、通関手数料、税金、および関連する可能性のあるその他の費用をお客様から回収する権利を有します。
8.4 您知晓并承诺，向POIZON平台提供的商品安全使用有效期信息准确、真实、有效，符合POIZON平台消费者所在地关于产品质量安全的相关规定，并承担一切由于商品安全使用有效期信息错误及其他产品质量安全问题所导致的法律责任。
8.4 You acknowledge and warrant that the information provided to POIZON Platform regarding the safe use and expiration date of the prodcutss is accurate, truthful, and valid, and complies with all applicable regulations concerning product quality and safety in the consumer's jurisdiction. Furthermore, you agree to assume all legal liabilities arising from any inaccuracies in the expiration date information of the products and any other product quality and safety issues.
8.4 お客様は、商品の安全な使用および有効期限に関して POIZON プラットフォームに提供された情報が正確、真実かつ有効であり、消費者の法域における商品の品質および安全性に関するすべての適用規制に準拠していることを認め、保証するものとします。さらに、お客様は、商品の有効期限情報の不正確さ、およびその他の商品の品質および安全性の問題から生じるすべての法的責任を負うことに同意するものとします。

（1）在满足POIZON平台公示的账户注销条件时您通过POIZON平台自助服务注销您的账户的；
(1) You may terminate your account through the Platform’s self-service account closure process when you meet the account closure conditions published by POIZON Platform
(1) お客様は、POIZON プラットフォームが公表するアカウント閉鎖条件を満たした場合、本プラットフォームのセルフサービスアカウント閉鎖プロセスを通じてアカウントを終了することができます。
（2）变更事项生效前您停止使用并明示不愿接受变更事项的；
(2) You cease using and explicitly express your unwillingness to accept the proposed changes before the effective date of the changes;
(2) お客様は、変更の発効日前に、提案された変更を受け入れる意思がないことを明示的に表明し、使用を中止するものとします。
（3）您明示不愿继续使用卖家服务，且符合POIZON平台终止条件的。
(3) You expressly indicate your unwillingness to continue using seller services and meet the termination conditions of the POIZON Platform.
(3) お客様は、販売者サービスの利用を継続する意思がないことを明示的に示し、POIZON プラットフォームの終了条件を満たすものとします。
【POIZON平台发起的终止】当出现以下情况之一时，POIZON平台可以书面或口头的方式通知您终止本协议：
[Termination by POIZON Platform] In any of the following circumstances, POIZON Platform is entitled to terminate this Agreement by serving a written or oral notice to you:

(1) Where you breach this Agreement, the Terms of Use, and the relevant policies and terms, POIZON Platform will terminate this Agreement in accordance with the relevant clause;
(1) お客様が本規約、利用規約、関連するポリシーおよび条件に違反した場合、POIZON プラットフォームは当該条項に従って本規約を終了します。
（2）您盗用他人账户、发布违禁信息、骗取他人财物、售假、扰乱市场秩序、采取不正当手段谋利等行为，POIZON平台依据POIZON平台规则对您的账户予以查封的；
(2) If you engage in activities such as unauthorized use of another person's account, posting prohibited content, fraudulent activities, selling counterfeit goods, disrupting market order, or seeking profit through improper means, POIZON Platform may suspend your account in accordance with POIZON Platform rules.
(2) 他人のアカウントの不正使用、禁止コンテンツの投稿、詐欺行為、偽造品の販売、市場秩序の混乱、不適切な手段による利益追求などの行為を行った場合、POIZON プラットフォームは、POIZON プラットフォームの規定に従い、お客様のアカウントを停止することができるものとします。
（3）除上述情形外，因您多次违反POIZON平台规则相关规定且情节严重，POIZON平台依据POIZON平台规则对您的账户予以查封的；
(3) In addition to the aforementioned circumstances, if you repeatedly violate the relevant rules of the POIZON Platform and the circumstances are severe, the POIZON Platform may suspend your account in accordance with POIZON Platform rules;
(3) 前述の状況に加え、お客様が POIZON プラットフォームの関連規則に繰り返し違反し、その状況が深刻である場合、POIZON プラットフォームは POIZON プラットフォーム規則に従ってお客様のアカウントを停止することができます。
（4）您存在欺诈、发布或销售假冒伪劣/侵权商品、侵犯他人合法权益或其他严重违法违约行为的；
(4) You are engaged in fraudulent activities, posting or selling counterfeit/infringing products, infringing on the legitimate rights and interests of others, or other serious illegal or non-compliant behaviors;
(4) 詐欺行為、偽造品/侵害品の投稿または販売、他者の正当な権利および利益の侵害、その他重大な違法行為やコンプライアンス違反行為を行っている場合。
（5）其它应当终止服务的情况。

（1）本协议终止后，POIZON平台仍享有权利：在法律允许的范围内，继续保存您留存于POIZON平台上的各类信息；对于您过往的违约行为，我们仍可依据本协议向您追究违约责任。
(1) After termination of this Agreement, POIZON Platform still reserves the right to, within the scope permitted by law, continue to retain all kinds of information left by you on POIZON Platform; for your past violations, we may still hold you accountable for your violation of this Agreement.
(1) 本契約の終了後も、POIZON プラットフォームは、法律で認められる範囲内で、お客様が POIZON プラットフォームに残したあらゆる種類の情報を引き続き保持する権利を有し、お客様の過去の違反については、当社は引き続きお客様に対して本契約違反の責任を問う場合があります。
（2）本协议终止后，对于您在本协议存续期间产生的交易订单，POIZON平台可通知买家并根据交易买家的意愿决定是否关闭该等交易订单；如买家要求继续履行的，则您应当就该等交易订单继续履行本协议及交易订单的约定，并承担因此产生的任何损失或增加的任何费用。
(2) After the termination of this Agreement, for the Purchase Order generated during the term of this Agreement, POIZON Platform may notify the buyer and decide whether to close such Purchase Order based on the buyer's willingness. If the buyer requests to continue the transaction, you should continue to fulfill the terms of this Agreement and the Purchase Orders, and bear any losses or additional expenses incurred.
(2) 本契約の終了後、本契約の期間中に発生した購入注文については、POIZON プラットフォームは購入者に通知し、購入者の意思に基づいて当該購入注文を終了するかどうかを決定することができます。購入者が取引の継続を要求した場合、お客様は本契約および発注書の条件を引き続き履行し、発生した損失または追加費用を負担する必要があります。

10.1、法律适用与管辖。
10.1 Governing laws and jurisdiction.
10.1 準拠法および管轄裁判所。
本协议适用新加坡法律，并根据新加坡法律进行解释，与本协议相关的任何诉讼均受新加坡法律管辖，不考虑新加坡或任何其他司法管辖区的法律冲突。
凡因本协议引起的或者与本协议相关的任何争议，包括合同的成立、效力或终止问题，均应根据届时有效的新加坡国际仲裁中心规则（「新仲规则」）提交新加坡国际仲裁中心进行仲裁以最终解决，该新仲规则应被视为本仲裁条款的一部分。仲裁地为新加坡，仲裁将根据新仲规则由一名或三名仲裁员进行审理。仲裁语言采用英语。
This Agreement and any actions related thereto shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of laws of Singapore or any other jurisdiction.
Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of arbitration shall be Singapore. The arbitration shall be determined by one or three arbitrators in accordance with the SIAC Rules. The language of the arbitration shall be English.
本契約およびこれに関連するすべての行為は、シンガポール法またはその他の管轄区域の抵触法にかかわらず、シンガポールの法律に準拠し、シンガポールの法律に従って解釈されるものとします。
本契約の存在、有効性、終了に関する疑問を含め、本契約に起因または関連して生じるあらゆる紛争は、シンガポール国際仲裁センター（以下「SIAC」）の仲裁規則（以下「SIAC 規則」）に従ってSIACが管理する仲裁に付託され、最終的に解決されるものとし、当該規則は参照により本条項に組み込まれるものとみなされます。仲裁地はシンガポールとする。仲裁は、SIAC 規則に従い、1 名または 3 名の仲裁人によって決定されるものとする。仲裁言語は英語とします。
10.2 可分割性。本协议任一条款被视为废止、无效或不可执行，该条应视为可分的且并不影响本协议其余条款的有效性及可执行性。
10.2 Severability. If any provision hereof becomes abolished, invalid or unenforceable, the provision shall be deemed as severable and shall not affect the validity and enforceability of the remaining provisions herein.
10.2 分離条項。本契約のいずれかの条項が廃止、無効または執行不能となった場合、当該条項は分離可能とみなされ、本契約の残りの条項の有効性および執行可能性には影響を及ぼさないものとします。
10.3 本协议由POIZON平台制定并公示，属于《用户服务协议》的组成部分， POIZON平台有权对本协议进行调整与修改，并通过更新平台协议等方式通知您后执行。如您对已生效的变更事项仍不同意的，您应当于变更事项生效之日起停止使用POIZON平台的卖家服务，变更事项则对您不产生效力；如您在变更事项生效后仍继续使用POIZON平台卖家服务，则视为您同意已生效的变更事项。
10.3 This Agreement was stipulated and published by POIZON Platform and is an integral part of the Terms of Use. POIZON Platform is entitled to adjust and modify this Agreement, and notify you by updating the relative agreement or by other means before effectiveness. If you disagree with the effective change, you shall stop using the seller services of POIZON Platform from the effective date of the change, and the change will not be binding on you. Otherwise, it will be deemed that you agree to the effective change.
10.3 本契約は、POIZON プラットフォームによって規定および公開されており、利用規約の不可分の一部となっています。POIZON プラットフォームは、本契約を調整および変更する権利を有し、本契約が有効になる前に関連する契約を更新するか、またはその他の手段でお客様に通知するものとします。お客様が有効な変更に同意しない場合は、当該変更の有効日から POIZON プラットフォームの販売者サービスの利用を停止するものとし、当該変更はお客様に対して拘束力を持たないものとします。そうでない場合は、有効な変更に同意したものとみなされます。
10.4 本协议可能存在多个语言版本，若英文版本与其他语言版本存在差异或不一致，则应以英文版本为准。
10.4 This Agreement may be translated into several languages, the English version shall prevail and control in all aspects and in the event of discrepancies or inconsistencies between the English and translated versions.
