本《POIZON平台卖家须知》（以下简称“本协议”或「本规则」） 由您（以下或称「卖家」）与POIZON（GLOBAL）Limited（以下简称：“「我们」或「POIZON平台」" ) 共同缔结。本规则属于《POIZON平台用户服务协议》（以下简称：《用户服务协议》）不可或缺的一部分，与《用户服务协议》一同生效，您点击同意《用户服务协议》，也意味着您作为POIZON平台的个人卖家，同意本规则的内容。
This Instructions for Sellers of POIZON Platform (hereinafter referred to as the “Agreement” or the “Instructions”) is made and entered into by and between you (or the “Seller”) and POIZON (GLOBAL) Limited (hereinafter referred to as “We” or “POIZON Platform”. The Instructions is an integral part of the User Services Agreement of POIZON Platform (hereinafter referred to as the “User Services Agreement”) and comes into force together with the User Services Agreement. By clicking to agree with the User Services Agreement, you agree with the contents hereof as an individual seller of POIZON Platform.
您在接受本协议之前，请您仔细阅读全部条款内容，特别是免除或限制责任的条款、法律适用和争议解决条款等用粗体标识的条款，您需要重点阅读。如您点击同意接受本协议即视为您同意受本协议约束入驻POIZON平台。如您对本协议的条款有疑问，请通过POIZON平台的客服进行咨询，我们将向您解释条款内容。如您不同意本协议内容，请不要进行后续操作。如您继续操作，视为您同意本协议。本协议自您同意之日起生效。平台中的用户协议、费用或交易规则、隐私政策等相关约束卖家权利义务的条款和本协议具有同等法律效力。
Before you accept the Agreement, you shall carefully read all contents of the Agreement, especially exemption or liability limitation clauses, clauses regarding governing laws and dispute settlement, as well as other bold and underlined clauses. By clicking to accept the Agreement, you agree to settle in POIZON Platform in accordance with the terms and conditions contained herein. In the case of any question about clauses hereof, please contact the customer service personnel of POIZON Platform and we will give you detailed explanation. Please stop subsequent operations if you disagree with the contents hereof. By continuing your operations, you agree with the contents hereof and accept the Agreement. The Agreement comes into force from the date when you give your consent. The User Agreement, fees or transaction rules, privacy policies, and other clauses binding on the rights and obligations of the Seller shall have the same legal effect with the Agreement.
您应确保您在本服务的使用及付款过程中,始终具备完全民事权利能力和完全民事行为能力,并确保您具有签订和履行本协议约定的权利义务之实际能力。如果您因年龄、智力等因素而不具有完全民事行为能力，请在法定监护人（以下简称"监护人"）的陪同下阅读并判断是否同意本规则。在该等情况下，您使用我们的服务应当获得您监护人的明示同意，否则，我们有权拒绝向您提供服务，由此产生的纠纷或损失由您或您的监护人承担。
You shall ensure that you always have full capacity for civil rights and civil conduct when you use and pay for the services hereunder, and that you have the actual capacity necessary for execution and performance of the rights and obligations agreed herein. If you don't have full capacity for civil conduct due to age, intelligence and other factors, please read the Instructions and determine whether you agree with the Instructions or not in the company of your legal guardian (hereinafter referred to as the “Guardian”). In this case you shall ensure that you have obtained express consent of your guardian before using our services, or we are entitled to refuse to provide you with such services and you and your guardian shall be liable for any and all disputes or losses arising therefrom.
一、 成为POIZON平台适格的卖家条件
I. Conditions for a Qualified Seller of POIZON Platform
1.1您注册POIZON平台进行商品转让或者出售，须持续满足以下条件：
1.1 To register as a qualified seller of POIZON Platform to transfer or sell commodity, you shall satisfy the following conditions:
（1） 年满18周岁且能独立承担本协议法律责任；
(1) You must be at least 18 years old and can independently assume the legal responsibilities hereunder;
（2） 完成PayPal账户绑定；
(2) You shall bind PayPal account with the Platform;
（3） 同意并接受本协议及POIZON平台服务协议以及其他协议、规则等内容；
(3) You shall agree with and accept the Agreement, the User Services Agreement, as well as other agreements and rules;
（4） 出售的商品来源合法，符合相关法律法规且不侵犯任何第三方的合法权益。
(4) Commodities sold shall be from legal source, comply with the relevant laws and regulations, and don't infringe on the legal interests of any third party;
（5） 提交相关个人信息用以完成个人身份实名制验证。
(5) You shall submit the relevant personal information to complete real-name identity authentication.
二、卖家权利及义务
II. Rights and Obligations of the Seller
2.1 出价保证金。您同意按本协议及平台规则缴纳出价保证金，方式为预授权方式。您成为个人卖家且在完成保证金预授权后（具体金额见下文），有权在POIZON平台出售商品。
2.1 Guarantee for bidding You agree to pay the guarantee for bidding by means of pre-authorization in accordance with the provisions hereof and rules of the Platform. You are entitled to sell commodities on POIZON Platform after you become an individual seller of the Platform and complete the pre-authorization for guarantee for bidding (specific amount is defined below).
2.2平台服务费。您出售商品时需要向POIZON平台支付平台服务费（具体金额见下文），如下文所列费用与具体平台收费不一致，则具体金额以出价页面展示为准。您有权根据交易额数量享受一定比例的优惠，具体优惠比例、实施政策以POIZON平台公示的规则为准。
2.2 Platform service fees. When selling commodity, you shall pay POIZON Platform the platform service fees (specific amount is defined below). If the fees listed below are inconsistent with those charged by the Platform, the specific amount shall be subject to those displayed on the commodity bidding page. You are entitled to enjoy a certain percentage of discount based on the transaction amount. Specific percentage of discount and policies for implementation shall be subject to the rules released on POIZON Platform.
请注意，这里的「出价」是指卖家对其指定的可供售卖的商品进行定价，并公示在平台上，接受平台上买家的确认与支付的行为。
Please note that, for the purpose of the Agreement, “bidding” shall refer to the behavior that the Seller prices the commodity available for sales and announces the price on the Platform for buyers to confirm and make payment.
2.3 账号使用。您应妥善保管登录POIZON平台的账号、密码等保密信息，当发生信息泄露或密码遗失时，您应立即向POIZON平台客服申请挂失。您登录账号后在POIZON平台中的一切操作均应符合法律法规、规章政策和法令的规定，还应符合本协议条款和相关规则的规定，上述您账户下的操作视为您的行为，由您承担全部责任。
2.3 Use of account. You shall properly keep your POIZON Platform account, password and other confidential information, and shall immediately contact with the customer service personnel of POIZON Platform to report the loss in the case of leakage of information or loss of password. After logging in POIZON Platform, you shall ensure that all your behaviors and operations conform to the laws, regulations, rules, policies and orders, as well as the clauses hereof and the relevant regulations. It is deemed that all the operations under your account are done by you, and you shall assume any and all the responsibilities therefor.
2.4 信息提交。您应当向POIZON平台提供真实、合法、准确、有效的注册数据、第三方支付账户以及收货信息，并保证提供的内容的有效性及安全性，POIZON平台可以通过您预留的联系方式与您进行联系。同时，您也有义务在相关资料或信息实际变更时，及时更新有关资料或及时通知POIZON平台。
2.4 Submission of information. You shall provide POIZON Platform with authentic, legal, accurate and valid registration data, the third party payment account and receiving information, and ensure the validity and security of the information provided. POIZON Platform may contact you through the contact information you provide. You are obliged to promptly update the relevant data or notify POIZON Platform in the case of any actual change of the relevant data or information.
2.5禁止销售范围。您确保出售的商品属于合法来源，您有权对该等商品进行出售；同时，您确保您出售的商品不属于适用法律管辖地区所明确禁止售卖或限制销售的商品，而且您出售的商品不得损害任何第三方合法权益（包括但不限于知识产权），否则您将承担相应的法律及赔偿责任。您应当留存商品相关合法来源凭证，当POIZON平台或者相关政府部门要求提供时，您应当配合提供。
2.5 Scope of prohibited sales. You ensure that the commodity you sell is from legal source and you are legally entitled to sell such commodity. You shall also ensure that the commodity you sell is not explicitly prohibited or restricted by the jurisdiction of governing laws and will not infringe on or harm the legal interests (including but not limited to the intellectual property rights) of any third party, or you shall assume the corresponding legal and compensation responsibilities. You shall properly keep the evidence for legal source of the commodity and submit to POIZON Platform or the relevant governmental department as required.
2.6 及时发货。您应当按照订单要求的商品、数量和时间及时、准确地进行发货。您因错发、漏发货的，因此产生的相关费用由您自行承担。如果您未按时完成发货或您发出的商品有任何瑕疵的，POIZON平台有权扣除您的保证金，也可视情节严重程度选择是否限制您的卖家权限。
2.6 Timely delivery. You shall ship and deliver the commodity in a timely and accurate manner in accordance with the type, quantity and delivery time of the commodity agreed in the order. In the case of wrong or missed delivery, all the fees arising therefrom shall be at your cost. If you fail to ship the commodity on time or the commodity shipped is defective, POIZON Platform is entitled to deduct your guarantee and/or decide whether to restrict your permission enjoyed as a seller as the case may be.
2.7交易秩序保障。您在使用服务进行交易的过程中应当遵守诚实信用的原则，确保您所发布的商品及/或服务信息真实、与您实际所销售的商品及/或提供的服务相符，并在交易过程中切实履行您的交易承诺。同时，您应维护互联网交易市场的良好秩序，不在交易过程中采取不正当竞争行为，不扰乱网上交易的正常秩序，不从事与网上交易无关的行为。
2.7 Guarantee for transaction order. During the transaction on the Platform, you shall uphold the principle of integrity and trustworthiness, ensure that the commodity and/or service information you released is true and consistent with the commodity you sell and/or service you provide, and duly fulfill your commitment during transaction. You shall maintain the good order of the Internet trading market, don't engage in unfair competition, don't disturb the normal order of online trading, and don't engage in any other behavior unrelated to online trading.
2.8不得隐瞒。您不得隐瞒任何可能对POIZON平台产生风险的事项，包括但不限于商品出现设计缺陷、质量瑕疵、权利纠纷、重大违约、上传数据报含病毒木马等，若发生此类影响平台商誉、正常转让、安全的事项的，POIZON平台有权解除本协议并追究相应责任。
2.8 No concealing. You shall not conceal matters that may bring risks to POIZON Platform, including but not limited to design defect and quality flaw of the commodity, rights dispute, material breach of contract, uploading data with Trojan virus, etc. Where the goodwill, normal transfer and security of the Platform are affected by such matters, POIZON Platform is entitled to terminate the Agreement and investigate the corresponding responsibilities.
2.9按约履行。您知悉并同意，您在POIZON平台上确定待售商品并进行出价的行为，即表示您发出了一个具有约束力的要约行为，您同意将您指定的商品售卖给平台上的买家。如果平台上有买家，通过平台的服务，愿意按照您的出价购买该指定商品，并接受您的报价，那么您与买家的买卖合同成立，您需要按照法律的规定，以约定的价格向买家交付该指定商品。您在POIZON 平台进行出售的行为是您的本人的真实意思表示，您应对您的行为承担相应的法律责任，您出售的商品一经拍下，您即无权以任何理由取消该笔订单。
2.9 Due performance. You know and agree that, by confirming to bid for sell the commodity on POIZON Platform, you send a binding offer and agree to sell the designated commodity to buyers on the Platform. If there is a buyer who agree to buy the designated commodity on the Platform at the price you quote, there is a sales contract between you and the buyer, and you shall deliver the designated commodity to the buyer at the agreed price in accordance with the relevant laws. It is your true intention to sell the commodity on POIZON Platform, so you shall assume the corresponding legal responsibilities for your behaviors. Once the order for the commodity you sell is placed, you shall not cancel the order for whatever reasons.
2.10依法缴税。您应当按照适用法律管辖地区有关的税法及其他相关法律法规，及时、足额地向当地税务部门申报纳税和缴纳税额，若您未足额缴纳税款导致平台 遭受任何损失的，POIZON平台有权限制您的卖家权限并冻结您的货款。
2.10 Payment of taxes according to law. You shall promptly apply to local tax authority and pay the payable taxes in full in accordance with the relevant tax laws and other regulations in the jurisdiction of governing law. If the Platform suffers any loss due to your failure to pay the taxes in full, POIZON Platform is entitled to restrict your permissions as the Seller and freeze your payment for commodity.
2.11 消费者保障。您了解并同意，您作为消费者保障的责任主体，应当遵照适用法律管辖地区有关的法律法规、特别是适用法律管辖地区关于商品销售的规定、消费者保护的规定及《用户服务协议》的规则履行消费者保障的各项义务，包括基础消费者保障服务，如商品如实描述、缴纳保证金等，具体以对应的法律规定及关联服务协议与规则约定为准。
2.11 Consumer protection. You understand and agree that, as the subject of legal responsibility for consumer protection, you shall duly fulfill your obligations for consumer protection in accordance with the relevant laws, regulations of the jurisdiction of governing laws, especially the regulations of the jurisdiction of governing laws on sales of commodity, consumer protection, as well as the provisions of the User Services Agreement. Such obligations include but are not limited to truthful description of commodity and payment of guarantee, which shall be subject to the corresponding laws, affiliated service agreements and rules.
三、 POIZON平台权利及义务
III. Rights and Obligations of POIZON Platform
3.1因网上交易平台的特殊性，POIZON平台以普通非专业人员的知识水平标准对相关内容进行判别，判断认为这些内容或行为具有违法或不当性质的，发现注册数据或交易行为中存在任何问题或怀疑，均有权向您发送询问或要求改正的通知，并根据不同情况对您采取限制性措施或停止对您提供服务，您同意由于排版错误或信息错误导致商品以不正确或明显不合理的价格或信息显示的，POIZON平台有权取消该等不正确或明显不合理价格或信息的商品订单的权利。并保留就您的行为给POIZON平台及其他权利人造成的损失进行追偿的权利。
3.1 Due to the particularity of the online trading platform, POIZON Platform will make judgment on the contents based on the knowledge level of an ordinary non-professional. If POIZON Platform deems that the relevant contents or behaviors are illegal or improper, or discovers that the registered information or transaction is problematical or suspicious, POIZON Platform is entitled to send you a notice of inquiry or rectification, and take restrictive measures or stop providing services to you as the case may be. You agree that if the commodity’s price or information displayed is incorrect or obviously unreasonable due to typographical errors or information errors, POIZON Platform is entitled to cancel the order of commodity with such incorrect or obviously unreasonable price or information. POIZON Platform reserves the right to recover the losses caused by your actions to POIZON Platform and other right holders.
3.2您同意在因为商品交易导致您和第三方发生纠纷时，授权POIZON平台向相对人及或政府相关部门披露您的个人卖家信息及相关订单信息。
3.2 You agree to authorize POIZON Platform to disclose your information as a seller and the relevant order information to the counterpart and/or the relevant governmental department in the case of any dispute between you and the third party caused by the transaction of commodity.
3.3如您违反卖家义务及POIZON平台相关协议及规则的，POIZON平台有权采取包括但不限于暂停部分或全部服务、关闭交易订单、封号、禁售、冻结资金、扣除保证金等措施，并保留采取进一步法律措施的权利。
3.3 Where you violate your obligations as a seller, as well as the relevant agreements and rules of POIZON Platform, POIZON Platform is entitled to take proper measures, including but not limited to suspending part or all of the services, closing the transaction order, banning the account, prohibiting the sales of commodity, freezing the fund and deducting the guarantee, and take further legal measures.
3.4 POIZON平台有权基于为您提供的服务向您收取平台服务费，也可能根据业务调整而变更向您提供服务的主体，变更后的主体履行本协议项下义务向您提供服务，前述变更不会影响您在本协议项下权益。发生争议时，您可根据具体使用的服务及对您权益产生影响的对象确认争议主体。
3.4 POIZON Platform is entitled to charge you the platform service fees based on the services provided to you, or change entity who provides you with the services considering the business adjustment. The new entity will serve you in accordance with the provisions hereof, and such change will not affect your rights and interests hereunder. In the case of dispute, you may determine the main subject involved in the dispute based on the specific services you enjoy and the objects affecting your rights and interests.
四、关于卖家服务费用
IV. Service Fees Collected from the Seller
4.1 平台服务费与支付手续费。

您清楚知悉并同意，平台服务费由POIZON平台收取，支付手续费由第三方支付机构收取。该费用标准可能会根据平台或第三方支付机构的实际情况而有所变化，请以平台和第三方支付机构公告/更新的规则为准。
You clearly know and agree that the platform service fees are charged by POIZON Platform and the commission fees are charged by the third party payment agency. The charging standards may vary with the actual circumstances of the Platform or the third party payment agency. Please refer to the updated rules of the Platform and the third party payment agency.
4.2结算条款
4.2 Settlement clause
买家货款预计将在商品查验通过后5个工作日内进入您的收款账户，如果发生收款账户信息错误、银行系统更新升级问题、不可抗力等情形，则对应的结算时间将根据前述情况得到有效解决后相应顺延。
The payment for commodity paid by the buyer may be transmitted to your receiving account within 5 working days after the commodity is inspected. In the case of wrong information about the receiving account, update and upgrade of banking system, force majeure, etc., the corresponding settlement time will be postponed accordingly after the aforesaid situations are effectively solved.
您当天已通过查验的商品，可于次日在POIZON卖家中心-账单管理中查看您当天的待收货款总额，POIZON平台将于前述约定时间内将您的待收货款一并支付至您的收款账户。
For your commodity that has passed inspection on the current day, you may view the total amount of payments for commodity to be collected on the current day in POIZON Seller Center - Bill Management Center on the next day. POIZON Platform will pay the payments to be collected to your receiving account within the agreed time previously mentioned.
4.3运费、查验服务费及其他费用。
4.3 Freight, inspection service fees and other expenses.
（1）您需要承担商品的运输费，包括但不限于，商品寄送和至POIZON平台指定收货地址的国际运输费、所有海关，关税，税金和任何其他相关费用。
(1) You need to bear the transport fee of the commodity, including but not limited to the international transport fee for mailing the commodity to the address designated by POIZON Platform, all the custom duties and taxes, as well as other relevant fees.
（2）您已经支付的平台服务费已经包括第三方商品查验服务费。但是，请注意，由于您的自身原因（包括但不限于商品查验不通过、商品质量问题等）导致交易订单取消/关闭以及其他情况，从而致使平台需要将商品回寄给您，则您需要承担商品查验服务费、包装服务费等（即平台服务费）及退货产生的快递物流等成本费用，POIZON平台有权直接从您的保证金中直接扣除相应费用。具体的费用标准如下：
(2) The platform service fees you've paid have included the third party commodity inspection service fees. Nevertheless, it should be noted that is the Platform needs to return the commodity to you due to cancellation/ closing of transaction order due to your reasons (including but not limited to the failure of the commodity to pass the inspection, quality problems of the commodity, etc.) and other reasons, you shall bear the commodity inspection service fees, packaging service fees, etc. (i.e. the “Platform Service Fees”), as well as the express fees, logistics fees and other costs caused by such return. POIZON Platform is entitled to directly deduct the corresponding fees from the guarantee. Specific charging standards are as follows:

Return to places in the United States (Currency: USD): USD 40/ commodity for shoes and bags, and USD 30/ commodity for other categories.
您理解并同意，该费用标准可能会根据平台或第三方物流快递公司的实际情况而有所变化，请以平台和第三方物流快递公司的公告/更新的规则为准。
You understand and agree that the charging standards may vary with the actual circumstances of the Platform or the third party express/ logistics company. Please refer to the updated rules of the Platform and the third party express/ logistics company.
五、 保证金条款
V. Guarantee
5.1您同意按本协议及平台规则进行保证金预授权/退还保证金，保证金将用于约束您的履约行为。
5.1 You agree to pre-authorize/refund the guarantee according to the provisions herein and rules of the Platform. The guarantee will be used to restrain your performance of contract.
5.2保证金标准
5.2 Standards of guarantee
（1）POIZON平台在您出价时获得您第三方支付账户绑定的信用卡的预授权作为保证金（币种：美元），用于担保您的交易履约情况，保证金的扣款标准如下：
(1) When you bid for the commodity, POIZON Platform obtains the pre-authorization of the credit card bound to your third party payment account as the guarantee (Currency: USD) for your performance of transaction. The standards for deduction of the guarantee are as follows:
鞋类和包类目商品收取40USD/件，其他商品类目收取30USD/件。
USD 40/ commodity for shoes and bags and USD 30/ commodity for other categories.
（2）若您不足额进行保证金预授权的，将无法进行出价、出售商品。当您的商品按时发货并通过平台查验后，且您没有存在任何违法行为或没有违反平台规则的前提下，您的保证金将被解除冻结。
(2) You may not bid for and sell the commodity if you pre-authorize insufficient amount of guarantee. When your commodity is delivered on time and passes the Platform’s inspection, your guarantee will be unfrozen provided that you have not committed any illegal acts or violated the rules of the Platform.
（3）当因卖家原因导致订单交易关闭或寄售商品取回或退回产生退货运费，平台将向卖家已绑定的信用卡发起运费或违约相关的扣款。如因信用卡额度不足等原因导致扣款失败的，则相应地会生成欠款，POIZON平台有权依法追究您的违约责任。卖家有欠款的状态下将无法正常出价，因此请保证您的信用卡额度充足。
(3) Where there are freight fees for return of commodity due to closing of transaction order caused by the Seller's reasons, or return or refund of the commodity, the Platform will apply to the credit card bound by the Seller for deduction of money for such freight or liquidated damage for breach of contract. If the deduction fails due to insufficient credit card line and other reasons, arrears will be generated accordingly and POIZON Platform is entitled to hold you liable for breach of contract according to law. The Seller may not normally bid for the commodity in the case of arrears under the credit card, so please ensure that you have sufficient credit card line.
5.3您若有以下情况之一的，POIZON平台有权全额扣除保证金，且保留停止向您提供服务的权利：
5.3 In the case of any of the following, POIZON Platform is entitled to deduct all the guarantee and reserves the right to stop providing services to you:
(1) 如您违反法律、法规、政策及本协议、平台规则或违反其他您做出的承诺致平台受损的，POIZON平台有完全的权利基于您的违约行为全额扣划您的保证金：
(1) If the Platform suffers any damage as you violate the laws, regulations, policies, the Agreement, rules of the Platform or other commitments you've made, POIZON Platform is fully entitled to deduct your guarantee in full based on your breach of contract:
(2) 如您在交易过程中未按照发货时效发货或虚假发货的，或者寄出的商品不符合您在平台出售的款式、尺码、配色等要求的， POIZON平台可直接从保证金中划扣已冻结的保证金的全部金额作为违约金：
(2) If you fail to deliver the commodity within the delivery time limit or falsely deliver the commodity during the transaction, or if the commodity you send does not meet the requirements in terms of style, size, color, etc. that you publishes on the Platform, POIZON Platform can directly deduct the frozen guarantee in full from the guarantee as the liquidated damage;
（3）如您提供的商品不符合平台要求或查验不通过，POIZON平台可直接从保证金中划扣已冻结的保证金的全部金额。
(3) If the commodity you provide does not meet the requirements of the Platform or fails to pass the inspection, POIZON Platform can directly deduct the frozen guarantee in full from the guarantee.
（4）如您违反本协议及平台规则或者存在其他违法、侵害平台合法权益的行为的，没有在POIZON平台要求的合理期限内改正或无法改正的，POIZON平台有权从保证金中划扣已冻结的保证金的全部金额作为违约金。
(4) If you violate the Agreement and rules of the Platform or commit other illegal acts that infringe on the legitimate rights and interests of the Platform, and fail to make rectification within the reasonable period required by POIZON Platform, POIZON platform is entitled to deduct the frozen guarantee in full from the guarantee as the liquidated damage;
（5）若您的保证金未扣除成功，则POIZON平台保留继续向您追讨保证金的权利。
(5) If your guarantee is not deducted successfully, POIZON Platform reserves the right to continue to recover the guarantee from you.
六、卖家出价及发货要求
VI. Requirements on the Seller's Bidding and Shipment
6.1商品出价
6.1 Commodity bidding
个人卖家在POIZON平台自行出价销售，POIZON平台不对您的出价进行干预。
Individual sellers quote for commodities on POIZON Platform without any intervention from POIZON Platform.
6.2发货时效
6.2 Time for delivery
（1）卖家须在用户下订单后【72小时以内】上传物流运单号、并完成打包寄出。逾期没上传物流单号，将会被视为超时未发货，该笔订单将被自动取消。
(1) The Seller must upload the waybill number and ship the commodity within [72 hours] after the buyer place order. If no waybill number is uploaded on time, it is deemed that the Seller does not ship the commodity on time, and the order will be canceled automatically.
（3）POIZON平台不支持邮政服务的快递件（如：USPS、EMS、Hongkong Post等邮政快递）和不接受所有形式的到付件，POIZON有权拒收使用到付方式的包裹。
(2) Any package delivered by postal service (such as USPS, EMS, Hongkong Post, etc.) or mailed by means of freight at destination will be refused by POIZON Platform. Platform is entitled to reject any commodity mailed by means of freight at destination.
（3）包裹内应包含发票信息或商品明细（包括但不限于发件方信息、收件方信息、商品名称、商品价值、商品数量、原产地）。
(3) The package shall be enclosed with invoice or commodity details (including but not limited to sender information, receiver information, as well as description, value, quantity and place of origin of the commodity).
（4）请注意：如您上传的发货信息在上传后24小时内未生成揽收记录的均视为虚假发货，但物流公司出具书面证明揽收失误的除外。其次卖家应确保快递件需要在用户下单后的120小时内送交至POIZON平台的收件仓库，超时将视为违约。
(4) NOTE: any shipping without pickup record generated within 24 hours upon uploading the shipping information will be deemed as a deceitful delivery, except that a written document of pickup error is issued by the logistic company. The Seller shall ensure that the package will be delivered to the receiving warehouse of POIZON Platform within 120 hours after the user places order. The Seller is deemed to constituting breach of contract in the case of delay in delivery.
七、商品查验
VII. Commodity Inspection
7.1请您在将商品寄送至POIZON平台进行查验前，仔细核验自身商品情况，确保商品不存在下述问题。POIZON平台将对您的商品依据下述查验标准进行查验：
7.1 You shall examine and verify the commodity before delivering it to POIZON Platform for inspection to ensure that the commodity does not have the following problems. POIZON Platform will inspect your commodity as per the following inspection standards:
非表类商品：
Commodities except for watches:
（1）商品出现明显氧化、开胶、开裂、污渍、划痕、染色、破损、磨损等质量问题；
(1) The commodity has obvious quality problems, such as oxidation, glue failure, cracking, stains, scratches, dyeing, breakage, abrasion, etc.;
（2）商品实物名称、款号、色号、尺码等与订单信息不符；
(2) Name, model, color or size of the physical commodity are inconsistent with those indicated on the order;
（3）商品与外盒（外包装）、配件不配套；
(3) The commodity does not match with the outer box (outer package) and accessories;
（4）商品缺少配件，包括但不限于鞋垫、盒盖、吊牌等；
(4) The commodity is short of accessories, including but not limited to shoe-pad, box cover, hang tag, etc.;
（5）商品有明显使用痕迹；
(5) There are obvious traces that the commodity is used;
（6）商品明显疑似假冒伪劣商品。
(6) The commodity is obviously suspected counterfeit and shoddy commodity.
表类商品：
Watches:
（1）商品存在明显氧化、划痕、污渍、磕碰、磨损、缺零配件等质量问题；
(1) The commodity has obvious quality problems, such as oxidation, scratches, stains, collisions, abrasion, short of spare parts, etc.;
（2）商品存在实物名称、品牌系列、外包装、型号、颜色等与订单信息不符的情形；
(2) Name, brand series, outer package, model, and color of the physical commodity are inconsistent with those indicated on the order;
（3）商品存在与外盒（外包装）、配件不配套的情形；
(3) The commodity does not match with the outer box (outer package) and accessories;
（4）商品存在缺少配件的情形，配件不配套，包括但不限于表盒、说明书、吊牌等；
(4) The commodity is short of accessories, including but not limited to watch case, specifications, hang tag, etc., or accessories don't match with the commodity;
（5）商品存在外包装破损、严重折痕及撕裂等情形；
(5) The commodity is exposed to such cases as damaged, seriously creased and torn outer package;
（6）商品存在功能调试异常、失灵、机械表走时不准、石英表没电、指针不联动等功能问题；
(6) The commodity has function problems, such as abnormal function debugging, malfunction, inaccurate time of mechanical watch, power failure of quartz watch, non-linkage of watch hands;
（7）商品存在明显使用过的痕迹；
(7) There are obvious traces that the commodity is used;
（8）商品明显疑似假冒伪劣商品；
(8) The commodity is obviously suspected counterfeit and shoddy commodity;
（9）商品明显疑似不符合商品原厂制造工艺及配置。
(9) The commodity is obviously suspected not conforming to the OEM manufacturing process and configuration of the commodity.
7.2 为确保商品的质量，平台可能会委托第三方查验服务商对商品进行拆封查验，查验通过后的商品将会重新包装后向买家进行发货。
7.2 To ensure the quality of commodity, the Platform may entrust a third party inspection service provider to unpack and inspect the commodity. Only the commodity passing the inspection will be repackaged and delivered to the buyer.
7.3 如您的商品最终被平台判定查验不通过的，平台有权关闭交易订单，扣除您的保证金，并将商品通过寄付的方式退还您，所发生的快递运费及其他可能涉及海关的清关费、税费及其他费用，平台有权向您追偿。
7.3 If your commodity fails to pass the inspection, the Platform is entitled to close the transaction order, deduct your guarantee, return the commodity to you by mail, and claim compensation from you in terms of express freight, customs clearance fees, taxes and other customer-related expenses occurred thereby.
八、 协议终止
VIII. Termination of the Agreement
8.1 终止的情形
8.1 Circumstances of termination
【卖家发起的终止】您有权通过以下任一方式终止本协议：
[Termination by the Seller] You are entitled to terminate the Agreement in any of the following ways:
（1）在满足POIZON平台公示的账户注销条件时您通过平台自助服务注销您的账户的；
(1) Cancel your account via self-service, provided that the conditions for cancellation published by POIZON Platform are met;
（2）变更事项生效前您停止使用并明示不愿接受变更事项的；
(2) Stop using the Platform before change and explicitly indicate that you will not accept the change;
（3）您明示不愿继续使用卖家服务，且符合POIZON平台终止条件的。
(3) Explicitly indicate that you will not continue to use the seller service, provided that the conditions for termination specified by POIZON Platform are met.
【POIZON平台发起的终止】当出现以下情况之一时，POIZON平台可以书面或口头的方式通知您终止本协议：
[Termination by POIZON Platform] In any of the following circumstances, POIZON Platform is entitled to terminate the Agreement by serving a written or oral notice to you:
（1）您违反本协议以及《用户服务协议》及关联政策和条款的约定，POIZON平台依据违约条款终止本协议的；
(1) Where you breach the Agreement, the User Services Agreement, and the relevant policies and terms, POIZON Platform will terminate the Agreement according to the clauses for breach of contract;
（2）您盗用他人账户、发布违禁信息、骗取他人财物、售假、扰乱市场秩序、采取不正当手段谋利等行为，POIZON平台依据POIZON平台规则对您的账户予以查封的；
(2) Where you misappropriate other’s account, publish illegal information, defraud other’s property, sell fake commodity, disrupt the market order, or take improper means to make profit, POIZON Platform will attach your account according to the rules of POIZON Platform;
（3）除上述情形外，因您多次违反POIZON平台规则相关规定且情节严重，POIZON平台依据POIZON平台规则对您的账户予以查封的；
(3) Besides, where you violate our rules repeatedly and seriously, POIZON Platform will attach your account according to the rules of POIZON Platform;
（4）您存在欺诈、发布或销售假冒伪劣/侵权商品、侵犯他人合法权益或其他严重违法违约行为的；
(4) Where you defraud, publish or sell forged, faked or infringing commodity, infringe on other’s legitimate rights and interests, or seriously violate the laws and provisions of the Agreement;
（5）其它应当终止服务的情况。
(5) Other circumstances causing the termination of services.
8.2 协议终止后的处理
8.2 Post-termination matters
（1）本协议终止后，POIZON平台仍享有权利：在法律允许的范围内，继续保存您留存于平台上的各类信息；对于您过往的违约行为，平台仍可依据本协议向您追究违约责任。
(1) Upon termination of the Agreement, POIZON Platform will still be entitled to keep all kinds of your information saved on the Platform to the extent permitted by law, or still hold you accountable for your breach of contract as agreed herein.
（2）本协议终止后，对于您在本协议存续期间产生的交易订单，POIZON平台可通知买家并根据交易买家的意愿决定是否关闭该等交易订单；如买家要求继续履行的，则您应当就该等交易订单继续履行本协议及交易订单的约定，并承担因此产生的任何损失或增加的任何费用。
(2) Upon termination of the Agreement, POIZON Platform can notify the buyer about whether to close the transaction order placed during the period of the Agreement; if the buyer requests to continue to perform the sales contract, you shall continue to perform the Agreement and execute the corresponding order to the extent of the buyer’s transaction order, and undertake any loss or additional expenses caused thereby.
九、其他
IX. Miscellaneous
9.1、法律适用与管辖。本协议的订立、履行、效力、解释及争议的解决均适用中华人民共和国香港地区相关法律法规。因订立和执行本协议而产生的任何争议，协议双方应首先通过协商解决。若协商不能解决，双方一致同意将争议提交中国国际经济贸易仲裁委员会香港仲裁中心依据其届时有效仲裁规则仲裁解决；仲裁地点为香港，仲裁语言为中文。最终仲裁裁决对双方均具有最终法律约束力。
9.1 Governing laws and jurisdiction. The execution, performance, effectiveness, interpretation and dispute settlement of the Agreement shall be governed by the laws of Hong Kong, People’s Republic of China. All the disputes arising from the execution and performance of the Agreement and/or related thereto shall be firstly settled by the Parties through amicable negotiation. Should the negotiation fail, the Parties agree to submit the dispute to China International Economic and Trade Arbitration Commission Hong Kong Arbitration Center for arbitration in accordance with its arbitration rules in force. The arbitration shall be held in Hong Kong and the language of the arbitration shall be Chinese. The arbitration award is final and binding on the Parties.
9.2 可分割性。本协议任一条款被视为废止、无效或不可执行，该条应视为可分的且并不影响本协议其余条款的有效性及可执行性。
9.2 Severability. If any provision hereof becomes abolished, invalid or unenforceable, the provision shall be deemed as severable and shall not affect the validity and enforceability of the remaining provisions herein.
9.3 本协议由POIZON平台制定并公示，属于《用户服务协议》的组成部分， POIZON平台有权对本协议进行调整与修改，并通过更新平台协议等方式通知您后执行。如您对已生效的变更事项仍不同意的，您应当于变更事项生效之日起停止使用POIZON平台的卖家服务，变更事项则对您不产生效力；如您在变更事项生效后仍继续使用POIZON平台卖家服务，则视为您同意已生效的变更事项。
9.3 The Agreement was formulated and publicized by POIZON Platform and is an integral part of the User Services Agreement. POIZON Platform is entitled to adjust and modify the Agreement, and notify you by updating the platform agreement or by other means before implementation. If you disagree with the effective change, you shall stop using the seller services of POIZON Platform from the effective date of the change, and the change will not be binding on you. Otherwise, it will be deemed that you agree to the effective change.
